天澤信息(300209.SZ)擬轉讓控股子公司海平面15%股權
格隆匯12月30日丨天澤信息(300209.SZ)公佈，為保障公司投資收益、優化公司投資結構、進一步提高上市公司的資產質量和盈利能力，鑑於控股子公司江蘇海平面數據科技有限公司(公司持股55%，“海平面”或“目標公司”)現階段需要持續加大市場和研發投入，吸引更多的優秀人才，同時為表明海平面經營層發展信心，天澤信息計劃將持有的海平面10%的股權以115萬元溢價出售給海平面的法定代表人、董事、總經理沈祥紅(“受讓方1”)，將持有的海平面5%的股權以57.5萬元溢價出售給海平面董事、副總理孫杰(“受讓方2”)。此次股權轉讓完成後，公司將持有海平面40%的股權，鑑於公司派出的董事佔海平面董事會席位多數，並實際控制董事會經營決策權，海平面仍為公司的控股子公司。
海平面是一家定位於工業級設備聯網應用場景的技術型公司，其主要產品面向5G時代的工業場景下的數據中台產品，以解決多媒體數據的處理和併發大流量的工業設備的數據處理。海平面於2017年1月成立至今，通過近三年的積累和投入，前期產品已經基本開發完成，應用於電力網、工業物聯網、智慧港口、智慧供熱、北理大數據聯盟等市場前景廣闊的行業領域。
鑑於目標公司尚處於虧損狀態、未來業務拓展需要加大投入，為保障公司投資收益、優化公司投資結構，進一步提高上市公司的資產質量和盈利能力，充分維護天澤信息作為投資方的合法權益，同時為表明目標公司經營層的發展信心，併為目標公司未來努力爭取進入資本市場做好股權結構多元化的準備，增強其發展後勁，經各方友好協商，受讓方同意按照協議約定的條件及對價購買公司所持有的海平面部分股權。
此次交易符合上市公司整體發展戰略規劃，有助於進一步提高公司對外投資質量，保障公司獲得穩定的投資收益。此次交易不會對公司當期及未來的財務狀況和經營成果產生重大影響，亦不會對公司現有業務的正常開展造成影響。此次股權轉讓完成後，公司將持有海平面40%的股權，鑑於公司派出的董事佔海平面董事會席位多數，並實際控制董事會經營決策權，海平面仍為公司的控股子公司。
同時，公司對受讓方的財務狀況和資信情況進行了考察，認為受讓方有相應的支付及償還能力，並且受讓方同意提供相應的擔保措施，因此公司無法收回該等款項的風險較低。
