中來股份(300393.SZ)擬3億元增資泰州中來光電 另引進國有公司資本對其增資6億元
格隆匯12月29日丨中來股份(300393.SZ)公佈，2019年12月29日，公司及公司全資子公司泰州中來光電科技有限公司(“泰州中來”)與泰州市姜堰國有資產投資集團有限公司(“姜堰國投”)、泰州市姜堰城市建設投資集團有限公司(“姜堰城投”)、泰州市姜堰區龍翔城鎮建設發展有限公司(“姜堰龍翔城建”)五方共同簽署了《泰州中來光電科技有限公司增資協議書》，公司擬出資人民幣3億元對泰州中來進行增資，同時引進姜堰國投、姜堰城投及姜堰龍翔城建共同投資6億元作為泰州中來的新增投資者。
綜合考慮各方面因素，此次增資價款由協議各方以泰州中來截至2019年7月31日的審計及評估結果為基準協商確定，具體內容如下：中來股份增資3億元，其中計入註冊資本27818.19萬元，計入資本公積2181.81萬元；姜堰國投增資1億元，其中計入註冊資本9272.73萬元，計入資本公積727.27萬元；姜堰城投增資1億元，其中計入註冊資本9272.73萬元，計入資本公積727.27萬元；姜堰龍翔城建增資4億元，其中計入註冊資本37090.92萬元，計入資本公積2909.08萬元。
此次增資完成後，泰州中來註冊資本將由人民幣15億元增加至約23.345億元，泰州中來由公司全資子公司變更為控股子公司，公司將持有泰州中來76.17%的股權，其仍納入公司合併報表範圍，不會對公司財務及經營狀況產生重大影響。
泰州中來作為公司2017年非公開發行股票募集資金投資項目“年產2.1GW N型單晶雙面太陽能電池項目”實施主體，截至公告披露日，非公開發行股票的募集資金已按規定用途全部使用完畢，泰州中來募投項目已投資建設完成。
公司此次擬通過引入國有公司資本，以增資擴股的方式引入戰略投資者，旨在進一步調整子公司泰州中來的股權結構，整合各方的優勢資源，保障公司光電板塊後續資金及業務發展需求，有利於泰州中來擴大生產經營規模、拓寬融資渠道，並帶動公司主業的持續增長，符合公司戰略發展要求。
