華電福新(00816.HK)收購華電柳州51%股權及收購風電項目前期成果
格隆匯12月27日丨 華電福新(00816.HK)公告，於2019年12月27日，公司與華電廣西訂立股權轉讓協議，據此，公司同意收購及華電廣西同意向公司轉讓華電柳州51%股權，代價為人民幣962.42萬元，將以現金支付。交易完成後，華電柳州將合併入集團的財務報表中。
於2019年11月27日及2019年12月18日，福新廣西分公司、福新柳州新能源及福新欽州風電分別與華電廣西訂立風電項目前期成果轉讓協議。據此，福新廣西分公司、福新柳州新能源及福新欽州風電同意收購及華電廣西同意向福新廣西分公司、福新柳州新能源及福新欽州風電轉讓相關風電項目前期成果，代價總額為人民幣442.23萬元，以現金支付。
華電柳州由華電廣西與廣西柳州市東城投資開發集團有限公司共同出資設立。截止2019年10月31日，華電柳州註冊資本金1600萬元。其中，華電廣西出資816萬元，佔股比51%；廣西柳州市東城投資開發集團有限公司出資784萬元，佔股比49%。
華電柳州光伏項目主要利用柳州新區標準廠房A、B、C區建築屋面(屋面總面積約10萬平方米)，安裝分佈式太陽能光伏電站，分別就近接入各區10kV配電室，總裝機約9.2MWp，運營期為25年；項目的光伏組件選用國內封裝生產的335Wp高效單晶硅電池組件，組件效率達到17%以上，處於國內領先水平，本項目投產後年平均發電量約922.42萬千瓦時，上網電價人民幣0.84元╱千瓦時，新區用電價格為人民幣0.96元╱千瓦時。
本次收購目標股權是華電集團踐行"華電福新為華電集團發展清潔能源的主要平台"、"將華電集團內部優質清潔能源項目注入華電福新"等避免同業競爭承諾的積極舉措，對華電福新整合優質清潔能源發電資產具有重要意義。華電柳州項目年度的淨資產收益為13%，高於本公司同期同類項目平均淨資產收益率，滿足本公司對項目收益率水平要求。
融安板攬項目擬選場址位於廣西柳州市融安縣板欖鎮，屬山地風電場。規劃裝機容量為150MW，擬分兩期開發，其中一期50MW，二期100MW。該項目已分別與柳州市人民政府、融安縣人民政府簽訂項目開發協議。桂平中沙項目擬選場址位於廣西桂平市中沙鎮和中和鎮一帶山區，屬山地風電場，規劃裝機容量100MW。該項目已與桂平市人民政府簽訂項目開發協議。
本次收購風電項目前期成果均屬於廣西壯族自治區境內的優質山地風電項目，有助於本公司加速清潔能源發展佈局，進一步搶佔南方優質風電資源。
