凱撒旅業(000796.SZ)子公司擬1.16億元港幣收購康泰旅行社100%股權
格隆匯12月27日丨凱撒旅業(000796.SZ)公佈，公司於2019年12月27日召開第九屆董事會第八次會議審議通過《關於收購康泰旅行社有限公司100%股權的議案》，公司董事會同意下屬全資子公司凱撒旅遊目的地管理(香港)集團有限公司(Caissa Touristic DMC(Hong Kong)Group Limited，“香港凱撒”)以約1.16億元港幣收購勝投國際投資有限公司(ShengTou International Investment Co., Ltd.，“勝投國際”或“交易對手方”)持有的康泰旅行社有限公司(Hong Thai Travel Services Limited，“康泰旅行社”或“標的公司”)100%股權。
康泰旅行社有限公司，Hong Thai Travel Services Limited主營業務為旅遊產品及服務，涵蓋旅行團、自由行、機票、酒店、郵輪、簽證、獎勵旅遊、私人組團、遊學服務以及海外婚禮等，旅行團產品多以出境遊為主。
作為綜合性的旅遊服務商，公司一直在積極拓展開設境內外分支機構，加強全球佈局。康泰旅行社作為成立40餘年的老牌旅行社，擁有豐富的長線旅遊經驗，在粵、港、澳三地均設有子公司，香港康泰和澳門康泰在香港、澳門當地均擁有較高的市場佔有率，此次收購康泰旅行社可降低公司在香港、澳門和華南地區品牌開發成本，且有利於進一步夯實公司在產品研發及境外組團的能力，助力公司打造成為具有全球影響力的旅遊行業品牌。香港作為粵港澳大灣區建設以及國家“一帶一路”戰略的重要城市，儘管目前旅遊業受到衝擊，但香港在一定意義上仍是連接內地城市與其他國家的重要紐帶城市，且伴隨廣深港高速鐵路的通車和港珠澳大橋的落成，可有效輻射華南地區市場，此次收購康泰旅行社是公司以香港為紐帶進一步拓寬出入境旅遊市場的重要舉措。
康泰旅行社業務發展很大一部分原因受制於業務系統及網絡化建設落後，此次交易完成後，公司將藉助自身優勢業務系統及網絡化建設經驗幫助康泰旅行社完成升級，推動其進一步發展。此次交易完成後，後續可能將面臨管理模式、團隊建設、企業文化及內部控制等方面風險，公司與子公司將同康泰旅行社建立起行之有效的內部控制、風險防範機制，保障標的公司的穩健發展。
