三江購物(601116.SH)稱：不存在報道中所述的用隱瞞、虛假的方式挪用資金、涉嫌違規低價轉讓股權致國有資產流失的情況
格隆匯12月24日丨三江購物(601116.SH)公佈，2019年12月24日相關媒體報道了：“二十年股權糾紛至今未決三江購物實控人遭公開舉報”的新聞，為避免對投資者造成理解上的誤解，公司現對相關情況澄清如下：
1、關於針對公司股權轉讓的歷史問題。
公司在IPO之前，歷次的股本形成及變化均符合相關法律、法規的規定，並獲得了所需要的內部及外部的批准。浙江省高級人民法院及浙江省人民檢察院分別有相關判決和決定：
(1)2004年4月20日，浙江省寧波市中級人民法院做出民事判決（2001甬經初字第313號），寧波市三豐投資發展有限公司(“三豐集團”)因對判決不服，向浙江省高級人民法院提出上訴。2004年9月27日浙江省高級人民法院做出民事判決(2004浙民二終字第130號)，駁回上訴，維持原判。因三豐集團仍不服浙江省高級人民法院該民事判決，向最高人民法院申訴，該院函告浙江省高級人民法院複查。經複查，2007年5月10日浙江省高級人民法院作出裁定：該公司的再審申請不符合法律規定再審條件，原判決書予以維持。
(2)就浙江省高級人民法院“2004浙民二終字第130號”民事判決，三豐集團還在2016年5月18日又向浙江省人民檢察院申請監督。浙江省人民檢察院認為，該案不符合監督條件，於2016年8月17日作出不支持三豐集團的監督申請的決定(浙檢民監【2016】33000000088號)。
2、關於2002年4月公安機關立案偵查的內容未予披露。
2002年6月5日，寧波市政法委召集市公檢法有關負責人，召開協調會議。會上，市檢察院和市中院兩家均認為不構成犯罪，同年6月6日，市公安機局對此案作出撤案處理。
3、關於2004年寧波市北侖區法院撤銷2002年的判決書問題。
根據由浙江省高級人民法院製作的（2004）浙民再字第5、6、7號民事調解書反映，而僅僅是撤銷三豐集團在寧波三江投資股份有限公司的股份及分紅，因為三豐集團和小港信用社在浙江省高級人民法院的再審過程中達成了“在已執行的款項中，小港信用社返還三豐集團合計169.2175萬元”的調解協議，所以繼續凍結已無基礎和必要。
綜上，公司及實際控制人不存在報道中所述的用隱瞞、虛假的方式挪用資金、涉嫌違規低價轉讓股權致國有資產流失的情況。公司將對不實報道和散佈、轉載和傳播者依法追究法律責任。
