全新好(000007.SZ)：北京泓鈞回購份額後公司實際收益約3675萬元
格隆匯12月24日丨全新好(000007.SZ)公佈，公司於2019年11月18日召開第十一屆董事會第八次(臨時)會議，按照公司於2019年8月14日召開的2019年第四次臨時股東大會的授權，審議通過了《關於公司退出寧波保税港區佳杉資產管理合夥企業(有限合夥)產業併購基金的議案》，同意公司參與的寧波梅山保税港區佳杉資產管理合夥企業(有限合夥)(“併購基金”)轉讓所持明亞保險經紀股份有限公司(“明亞保險經紀”)59%股份的事項，同時授權公司管理層和併購基金投資決策委員會公司派出委員簽署相應文件。
併購基金已與相關方簽署完成了轉讓明亞保險經紀股權的有關交易文件，但因此次股權交易事項較多，交易時間相應延長，致使北京泓鈞資產管理有限公司(“北京泓鈞”)解除上市公司在併購基金中相關連帶保證責任的承諾履行期限自2019年11月21日到期後已經超期。公司一邊積極督促各相關方儘快推進股權轉讓交易事項以解除上市公司在併購基金中承擔的連帶保證責任，一邊積極推進公司及時、穩妥地退出併購基金事宜。經公司與北京泓鈞協商，北京泓鈞同意以人民幣12000萬元的價格回購公司持有併購基金的全部合夥份額(即認繳出資額為人民幣7713.04萬元，佔合夥企業全部認繳財產份額的8.15%，“標的資產”)並簽訂《回購協議》。
北京泓鈞回購標的資產後，公司退出產業併購基金並不再享有併購基金的任何權益(公司在併購基金中承擔的連帶保證責任則依據併購基金轉讓明亞保險經紀股權交易的完成而最終解除)，公司對產業併購基金的投資收益得以變現，符合公司長遠發展需求，有利於維護公司全體股東利益。根據核算，公司對併購基金劣後級合夥份額的投資先後合計約8325萬元，北京泓鈞回購份額後公司實際收益約3675萬元，除以往年度已確認的收益外，預計此次回購交易將對公司當期損益產生積極影響。
