皖通高速(600012.SH)擬組建聯合體香港SPV 共同收購境外資產
格隆匯12月23日丨皖通高速(600012.SH)公佈，公司擬與招商公路、招商聯合、浙江滬杭甬、寧滬高速、四川成渝作為聯合體成員，以其各自在香港設立的特殊目的公司（以下簡稱“SPV”）共同出資設立聯合體香港SPV，以收購土耳其ICA公司51%股權及ICA公司原股東51%的股東借款、位於香港的Eurasia Motorway Maintenance and Operations Limited（以下簡稱“Eurasia OpCo公司”，即運營養護標的公司）51%股權。本次交易標的資產的交易價格為6.885億美元，其中公司擬出資4819.5萬美元，持有聯合體香港SPV股份比例7%。
2019年12月23日，公司與招商公路、招商聯合、浙江滬杭甬、寧滬高速、四川成渝共同簽署《合作協議》，設立聯合體香港SPV，用以開展本次境外資產收購。同日，聯合體成員與賣方IC İÇTAŞ İnşaat Sanayi ve Ticaret A.Ş.（以下簡稱“IC Ictas”）及Pacific Motorway Operations Holding Limited（以下簡稱“Pacific OpCo”）簽署《股份購買協議》及其附件和附錄等協議。
ICA公司擁有位於土耳其伊斯坦布爾的北馬爾馬拉高速公路Odayeri-Paşaköy部分(包括博斯普魯斯第三大橋)之融資、設計、施工、運營、維護及維修業務。ICA公司原有兩名股東為IC Ictas與Astaldi S.p.A.(以下簡稱“Astaldi”)。前者持有ICA公司80%股權，後者持有ICA公司20%股權。IC Ictas將在收購Astaldi所持ICA公司20%股權及相關股東借款而成為ICA公司全資股東後，向聯合體轉讓其所持有的ICA公司51%股權和其對ICA公司的51%股東借款。
ICIctas的關聯方將通過其香港控股公司Pacific OpCo設立香港控股子公司Eurasia OpCo，Eurasia OpCo將通過其愛爾蘭控股公司OpCo(IR)持有位於土耳其的新設子公司100%股權(即新設立的對北馬爾馬拉高速公路Odayeri-Paşaköy部分(包括博斯普魯斯第三大橋)的運營維護實體公司，以下簡稱“OM公司”)。Pacific OpCo將向聯合體轉讓其持有的Eurasia OpCo公司51%股權。
