耐威科技(300456.SZ)子公司擬轉讓重慶新世紀40.12%股權予重慶華譜測
格隆匯12月17日丨耐威科技(300456.SZ)公佈，公司全資子公司北京耐威時代科技有限公司(“耐威時代”)擬將持有的參股子公司重慶航天新世紀衞星應用技術有限責任公司(“重慶新世紀”)40.12%股權，以4413.20萬元的價格轉讓給重慶華譜測導航科技有限責任公司(“重慶華譜測”)。
耐威時代擬與重慶華普測簽署的《股份轉讓協議》的生效條件之一為持有重慶新世紀6.93%股權的航天信息股份有限公司(“航天信息”)以書面形式明確放棄該40.12%股權的優先購買權，截至目前，航天信息尚未出具該書面文件。
重慶航天新世紀衞星應用技術有限責任公司經營範圍：激光陀螺及其慣性測量組合系統、動中通系統、遙測系統、電子、機電產品的開發；儀器儀表、智能安防設備、電氣機械及器材、自動控制設備的研發、銷售、技術服務、設計和安裝；機械設備製造與銷售；汽車銷售。(以上行業法律法規禁止的不得經營；法律法規規定需審批的，在未取得審批之前不得經營。)
2016年11月，耐威時代投資重慶新世紀的目的是將慣性導航產業鏈向上遊延伸，增強慣性導航業務綜合實力，豐富導航業務產品類別並拓展市場渠道；投資以來，耐威時代較好地達成了上述目的。近期，當重慶新世紀控股股東航天晨光公開掛牌轉讓其所持有的重慶新世紀52.95%股權時，耐威時代放棄了對應的優先購買權。
此次耐威時代將所持有的重慶新世紀40.12%股權進行出售，目的在於優化投資結構，實現投資收益，調整、優化資源配置，以聚焦公司主業。
此次股權轉讓完成後，重慶新世紀不再是公司參股子公司，不會對公司生產經營產生重大影響。此次股權投資因轉讓形成的投資收益約3900萬元，預計將對公司本年度經營業績產生約3500萬元的積極影響。此次交易中交易對方具備足夠的履約及付款能力。此次股權轉讓事項符合公司整體戰略規劃及實際經營需要，不存在損害公司及公司股東，特別是中小股東利益的情形。
