*ST猛獅(002684.SZ)：擬由三投集團、河南高創、杭州憑德作為債務重組合作方 以不超12億元協助公司進行債務重組
格隆匯12月17日丨*ST猛獅(002684.SZ)公佈，公司於2019年8月28日與河南高科技創業投資股份有限公司簽署了《戰略合作協議》，於2019年9月29日與三門峽市投資集團有限公司(“三投集團”)、河南高科技創業投資股份有限公司(“河南高創”)簽署了《儲能項目戰略合作協議》，於2019年11月11日與北京致雲資產管理有限公司(“北京致雲”)簽署了《戰略合作協議》，於2019年12月5日與三門峽市城鄉一體化示範區管理委員會、三投集團簽署了《投資合作協議》，上述戰略合作方將通過產業融合和資源導入、股權投資、債權投資、債務重組、併購重組、產業基金、戰略紓困投資等，參與、支持、協助公司及公司子公司推進自身一系列的股權、債權債務、資產等方面的重組工作，協助公司紓困，保障公司生產經營，促進公司的良性發展。
此次債務重組擬由股東為三投集團、河南高創、北京致雲的杭州憑德資產管理有限公司(“杭州憑德”)作為債務重組合作方以不超過12億元的資金協助公司(包括子公司，下同)進行債務重組，其將自公司的債權人受讓債權，而後豁免公司部分債務，及借款給公司以償還公司相關債權人的部分債務，而後由該等債權人直接豁免其對公司的剩餘債務，以及公司的債權人直接對公司進行部分債務的豁免，以上豁免債務合計金額不超過20億元。通過上述債務重組，將降低公司負債金額，減輕公司財務負擔，解決逾期負債的訴訟及面臨的各種查封、凍結等司法強制措施。
2019年11月27日，公司收到杭州憑德的《告知聲明函》，為了充分落實杭州憑德股東與公司簽署的戰略合作相關內容實施，協助公司紓困重組且有效促進公司良性發展，杭州憑德及其戰略關聯一致行動方寧波致雲股權投資基金管理有限公司從2019年11月14日至2019年11月27日從二級市場累計增持公司股票超過2100萬股，同時承諾在未來三個月內繼續增持公司股票不低於1000萬股，且成為公司不低於5.00%的重要股東。根據《深圳證券交易所股票上市規則》的第10.1.6條規定，此次交易構成關聯交易。
公司於2019年12月17日召開第六屆董事會第四十次會議審議通過了《關於進行債務重組暨關聯交易的議案》，公司獨立董事事前認可了此次交易，並對此次交易發表了明確的同意意見。此次交易尚須獲得股東大會的批准，與該關聯交易有利害關係的關聯人將放棄在股東大會上對該議案的投票權。公司董事會提請股東大會授權經營管理層具體辦理相關事宜。
