深桑達Ａ(000032.SZ)與中電信息共同參與淮安智慧城市PPP項目投標
格隆匯12月16日丨深桑達Ａ(000032.SZ)公佈，淮安市人民政府授權淮安市工業和信息化局(項目實施機構)負責的淮安市智慧城市PPP項目將採用政府和社會資本合作模式實施，並被江蘇省財政廳批准列入江蘇省PPP項目庫，且已被列為江蘇省省級PPP試點項目。近日，該項目在江蘇省採購中心公開掛網招標，採購一名社會資本，邀請符合相關條件並已經通過本項目資格預審的供應商參與投標。
公司與中國中電國際信息服務有限公司(“中電信息”)自願組成聯合體共同參加上述淮安智慧城市PPP項目的投標。
中電信息持有公司股份比例為49.04%，為公司控股股東，此次交易屬關聯交易，但不構成《上市公司重大資產重組管理辦法》規定的重大資產重組。
該項目總投資約9.44155億元，其中存量項目評估值約19935.3萬元。最終總投金額以中標後與政府相關部門實際簽署的合同為準。
根據公司發展規劃，公司將構建基於“PK體系”(PK指飛騰芯片+麒麟操作系統)的、以城市治理能力現代化為核心的城市級信息化建設整體解決方案，打造現代數字城市業務發展體系和推動能力，探索具有自身特色的數字應用生態之路，把公司打造成為國內領先的城市治理現代化整體解決方案和智慧產業技術與產品提供商。、、
公司參與淮安市智慧城市PPP項目，符合公司確定的現代數字城市產業發展方向，有利於推動公司業務的戰略升級，如果中標實施將對公司健康發展產生積極作用：
1、參與該項目符合桑達股份的現代數字城市主業方向，有利於拓展PPP項目市場，加快公司戰略落地。
2、參與該項目可以培養公司現代數字城市綜合項目運作能力，增強工程施工與項目建設能力。
3、參與該項目可獲取合理的投資收益和工程收益。投資收益方面，項目公司未來運營穩定後，可為公司貢獻較為穩定的投資收益；工程收益方面，公司所屬企業在建設期可通過法定程序承接工程項目，獲取工程收益。
4、參與該項目的建設運營，可以長期深耕淮安市信息化建設市場，提高公司在當地的社會影響力和企業競爭力，有利於在當地拓展新的業務項目。
5、通過該項目的規劃建設和運營，可打造公司現代數字城市業務的示範樣板，積累經驗、提煉模式、複製推廣。
