盛達資源(000603.SZ)：趙滿堂在實施減持計劃過程中 因誤操作導致短線交易
格隆匯12月13日丨盛達資源(000603.SZ)公佈，公司於2019年12月12日收到持股5%以上股東趙滿堂出具的《關於誤操作買賣盛達資源股票導致短線交易的説明》，其在實施減持計劃過程中因誤操作導致短線交易。
2019年9月5日，公司披露，公司持股5%以上股東趙滿堂及其一致行動人王小榮擬在減持計劃公告之日起15個交易日後的6個月內，以集中競價交易減持公司股份合計不超過1379.93萬股，佔公司總股本的2%。
2019年12月11日，趙滿堂按照減持計劃開始實施減持，其當日通過集中競價交易累計減持公司股份462.5萬股，佔公司總股本的0.67%，同時因誤操作買入公司股份6.03萬股，佔公司總股本的0.01%。截至公告披露日，趙滿堂持有公司股份5293.53萬股，佔公司總股本的7.67%，本次誤操作買入的6.03萬股佔其持有公司股份總數的0.11%；趙滿堂之一致行動人王小榮尚未開始減持股份，仍持有公司股份2160萬股，佔公司總股本的3.13%。
2019年12月11日，在交易結束後查看成交匯總結果時，發現由於經辦工作人員操作失誤，導致趙滿堂先生在減持過程中誤買入60,300股公司股票，佔公司總股本的0.01%，買入均價為13.16元/股，買入股票成交金額為793,815.00元。趙滿堂先生買入公司股票的行為是由於其工作人員操作失誤所致，但根據《證券法》及深圳證券交易所的相關規定，上述交易行為客觀上構成了短線交易。趙滿堂先生髮現上述問題後，已暫停減持操作並向公司出具了買入公司股票的情況説明。經公司核查，該筆短線交易行為未發生在公司披露定期報告的敏感期內，不存在因獲悉內幕信息而交易公司股票的情況，亦不存在利用短線交易謀求利益的目的。
依據《證券法》第四十七條的規定：上市公司董事、監事、高級管理人員、持有上市公司股份5%以上的股東，將其持有的該公司的股票在買入後六個月內賣出，或者在賣出後六個月內又買入，由此所得收益歸該公司所有，公司董事會應當收回其所得收益。最近6 個月內，趙滿堂先生減持公司股份最高賣出價格為15.71元/股，本次誤操作買入的60,300股的最低買入價格為13.1元/股，本次短線交易產生的收益為：(15.71元/股-13.10元/股)×60,300股=157,383元。上述所得收益157,383元作為本次短線交易的獲利金額，將全數上交公司。
趙滿堂上述買賣公司股票的行為系其工作人員操作失誤所致，不具有短線交易的主觀故意，其本人及工作人員已認識到本次交易違反了有關規定，並就本次行為給公司和市場帶來的不良影響向廣大投資者致以誠摯的歉意，同時承諾將認真學習相關法律、法規，嚴格規範買賣公司股票的行為，自覺遵守《證券法》關於禁止短線交易的規定。
公司將進一步督促持股5%以上股東及董事、監事、高級管理人員對相關法律法規的學習，並督促相關人員嚴格規範買賣公司股票的行為，謹慎操作，杜絕此類事件再次發生。
