金信諾(300252.SZ)擬轉讓江蘇萬邦2%股權
格隆匯12月13日丨金信諾(300252.SZ)公佈，公司於2017年7月25日召開的第三屆董事會2017年第七次會議、2017年8月18日召開的2017年第三次臨時股東大會審議通過了《關於收購江蘇萬邦微電子有限公司部分股權的議案》，金信諾通過支付現金1.428億元人民幣的方式向朱勤輝、楊靜霞收購其合計持有的江蘇萬邦微電子有限公司(“江蘇萬邦”)38.08%的股權。收購完成後，公司直接持有江蘇萬邦51%的股權。
根據公司與朱勤輝、楊靜霞簽署的《關於江蘇萬邦微電子有限公司的股權轉讓協議》第8.3條的規定，若江蘇萬邦在2017年度實現的扣除非經常性損益後的淨利潤達到3000萬元；或2017年度實現的扣除非經常性損益後的淨利潤達到1800萬元、2018年上半年度實現的扣除非經常性損益後的淨利潤達到2000萬元，則江蘇萬邦管理團隊或管理團隊書面指定的投資方，有權以不低於金信諾受讓江蘇萬邦股權的價格，回購金信諾持有的江蘇萬邦2%的股權。
根據江蘇萬邦2017年審計報告及2018年上半年財務報表，江蘇萬邦2017年度實現的扣除非經常性損益後的淨利潤為人民幣2257.2674萬元，2018年上半年度實現的扣除非經常性損益後的淨利潤為人民幣2290.3693萬元，符合《股權轉讓協議》第8.3條的回購條件。金信諾同意按照協議約定的條款和條件將其持有的江蘇萬邦2%的股權轉讓給朱勤輝1.2%、楊靜霞0.8%，朱勤輝、楊靜霞同意按照本協議約定的條款和條件受讓該股權。
2019年12月13日，公司擬與朱勤輝、楊靜霞簽署了《關於江蘇萬邦微電子有限公司之股權回購協議》，擬將所持有的江蘇萬邦2%股權作價1100萬元轉讓給朱勤輝、楊靜霞。鑑於朱勤輝、楊靜霞已簽訂《一致行動協議》，雙方為一致行動人。因此，交易完成後，公司將持有江蘇萬邦49%的股權，江蘇萬邦將不再納入公司合併報表範圍內。
