ST雲維(600725.SH)：公司部分銀行賬户被凍結
格隆匯12月9日丨ST雲維(600725.SH)公佈，公司近日收到銀行通知，公司農業銀行賬户被廣東省江門市篷江區人民法院實施司法凍結，相關情況公告如下：
根據公司開户銀行通知及公司自查，雲維股份農業銀行賬户被江門農村商業銀行股份有限公司(原江門融合銀行農村商業銀行股份有限公司，“江門銀行”)基於其與廣東際傑能源經貿有限公司(“廣東際傑”)之間的債權債務關係申請凍結，公司與其並無債權債務關係。公司與廣東際傑之間因為原子公司擔保形成的一筆債務(已列入公司2016年待確認重整債務)，公司已根據法院裁定批准的雲維股份重整計劃對廣東際傑存在爭議的債務金額按規定清償比例計算提存至公司管理人賬户。此次被申請凍結金額約為5000萬元。
賬户凍結具體情況如下：
此次凍結所涉債務為公司2016年度公司與廣東際傑存在爭議的涉訴重整債務，公司管理人已對存在爭議的債務按法院裁定的重整計劃清償比例提存至管理人賬户；
該筆與廣東際傑存在爭議的債務已於2019年10月12日由廣東省江門市中級人民法院判決並生效。按2016年昆明中院裁定的雲維股份重整計劃，廣東際傑需根據判決向公司或公司管理人確認對債權審查確認金額無異議，待昆明中院裁定該筆重整債權後，公司將從管理人賬户予以清償該筆債務；
公司已於2019年11月8日與廣東際傑針對上述債權申報進行溝通，並提醒其儘快對登記於雲維股份債權表中暫未確認的債務進行確認，以便公司向昆明中院申請裁定從管理人賬户清償該筆債務；
公司已就2016年度重整事宜與相關法院及執行申請人進行溝通，向執行法院提交了執行異議申請書及立即解除凍結措施的申請，其中明確公司與執行申請人並無債權債務關係，雲維股份對江門銀行無給付義務。公司向執行法院提交了昆明中院批准雲維股份重整計劃的裁定和雲維股份重整計劃(包含對債權規定的清償方案比例)、管理人賬户提存資金證明。債權人廣東際傑可依法確認債權並從公司管理人賬户獲得清償，該債權的受償並無執行障礙，公司亦無拒不履行清償義務的行為。關於債務人與執行申請人之間的債權債務關係，可由法院通過發協助執行通知的方式，要求凍結雲維股份管理人提存分配給廣東際傑的款項；
綜上所述，公司認為此次凍結存在不謹慎、凍結賬户錯誤、凍結金額遠超判定金額等不當情形，對公司正常生產經營活動產生一定影響。對此，公司已向相關債權人、銀行提請交涉，向法院提交執行異議申請書及立即解除凍結措施的申請，以維護公司的合法權益和正常經營。也請相關債權人、法院、銀行嚴格按照昆明中院裁定的雲維股份重整計劃及重整債權申報流程的相關規定依法辦理債權確認事宜。公司將與有關各方積極協商溝通，儘快解除公司賬户凍結,同時保留採取進一步法律措施追究相關法律責任維護公司權益的權利。
