三聚環保(300072.SZ)擬收購四川鑫達55%股權 開啟在新型環保及清潔能源方面資產運營步伐
格隆匯12月9日丨三聚環保(300072.SZ)公佈，公司於2019年12月09日召開第四屆董事會第三十四次會議，審議通過了《關於擬收購四川鑫達新能源科技有限公司55%股權的議案》，同意公司使用自有資金或自籌資金人民幣901.63萬元收購四川鑫達新能源科技有限公司(“四川鑫達”)55%股權，並與四川鑫達的2位自然人股東趙萬飛、李敏簽署《股權轉讓協議》。根據中興財光華會計師事務所(特殊普通合夥)出具的中興財光華審會字(2019)第328036號審計報告及中威正信(北京)資產評估有限公司出具的中威正信評報字(2019)第1080號資產評估報告確認，四川鑫達截至2019年9月30日的淨資產為1301.23萬元，淨資產評估值為1639.33萬元。經與四川鑫達原股東趙萬飛、李敏協商，公司以貨幣資金人民幣901.63萬元價格收購趙萬飛、李敏所持有的四川鑫達55%的股權。股權轉讓完成後，四川鑫達將成為公司控股子公司，公司將持有四川鑫達55%的股權。
四川鑫達是一家集新能源技術的研發、生產和銷售為一體的綜合性公司，主要產品有甲醛溶液、三聚甲醛、甲縮醛以及聚甲氧基二甲醚(“DMMn”)DMMn是核心產品。DMMn為新型環保材料，可取代油漆、塗料市場中具有致癌性的甲苯、二甲苯等溶劑；DMMn為國際上公認的降低油耗和減少煙氣排放的新型環保型燃油調和組分，具有十六烷值高(80～100)，低温流動性好，能夠改善柴油的燃燒性能，減少汽車尾氣的排放。其物性與柴油相近，調和到柴油中使用不需要對車輛發動機供油系統進行改造。
四川鑫達的主營業務及產品符合三聚環保產業發展方向，DMMn等產品附加值較高，具有較高的經濟效益，將為公司發展提供較大支持。同時，公司通過收購四川鑫達，將開啟公司在新型環保、清潔能源方面資產運營的步伐，也打破公司原先僅採用輕資產運營模式為下游客户提供綜合服務的桎梏，拓展、升級公司“能源淨化綜合服務商”的內涵，快速實現公司向新型清潔能源服務商的戰略轉型。
