運達科技(300440.SZ)擬入股華開領航 佔股51%
格隆匯12月9日丨運達科技(300440.SZ)公佈，公司擬與北京華開領航科技有限責任公司(“華開領航”、“標的公司”)及其股東劉冶、王琳、徐總茂、車顯達、陳霞(“原股東”)簽署《投資協議》。公司擬以自有資金1200萬元受讓原股東合計所持標的公司20%的股權(即認繳出資額200萬元，實繳出資額200萬元)，並以3795.9184萬元向華開領航增資，其中632.6531萬元計入註冊資本，剩餘3163.2653萬元計入標的公司資本公積金，此次投資完成後，公司持有華開領航51%的股權。
北京華開領航科技有限責任公司經營範圍：技術推廣服務；技術檢測；軟件開發；計算機系統服務；應用軟件服務；專業承包；銷售計算機軟硬件及輔助設備、機械設備、儀器儀表、電子元器件；計算機技術培訓(不得面向全國招生)；貨物進出口、技術進出口、代理進出口；生產組裝鐵路機車車輛配件、鐵路專用設備及器材、配件。(企業依法自主選擇經營項目，開展經營活動；依法須經批准的項目，經相關部門批准後依批准的內容開展經營活動；不得從事本市產業政策禁止和限制類項目的經營活動。)
原股東向收購方承諾標的公司2019至2021年度(“承諾年度”)的淨利潤分別不低於400萬元、600萬元及700萬元，合計為1700萬元。
