中寵股份(002891.SZ)：與專業投資機構共設產業基金 積極佈局寵物消費產業鏈
格隆匯12月6日丨中寵股份(002891.SZ)公佈，2019年07月02日，公司與北京方圓金鼎投資管理有限公司(“金鼎投資”)基於對寵物食品行業發展前景的認可，共同簽署了《產業基金合作框架協議》。
為促進公司長遠發展，充分藉助專業投資機構的專業資源及其投資管理優勢，持續完善公司寵物行業的投資佈局，公司擬以自有資金人民幣5000萬元與金鼎投資及其他有限合夥人共同出資設立產業基金，並簽署了《宿遷中寵匯英資產管理合夥企業(有限合夥)合夥協議》(“《合夥協議》”)。
2019年12月06日，公司召開的第二屆董事會第二十六次會議審議通過了《關於公司對外投資參與設立產業基金的議案》；同時，公司董事會授權公司總經理負責簽署此次對外投資有關協議及具體履行協議的相關事宜，授權期限至相關事宜全部辦理完畢之日止。
宿遷中寵匯英資產管理合夥企業(有限合夥)投資方向：重點關注寵物食品、用品、寵物連鎖零售等相關行業，積極佈局寵物消費產業鏈，主要投資於中國境內的上述相關領域高成長性的未上市企業的股權投資，圍繞與上市公司升級轉型相關的併購重組，包括協作收購、槓桿收購及參股投資，兼顧投資於新三板已掛牌和普通合夥人認為符合合夥企業利益的其他投資機會。基金規模：人民幣1億元。
公司此次與專業投資機構合作設立產業基金，通過投資寵物行業中具備技術和市場優勢的企業及其他具有發展潛力的高價值企業，有利於公司及時把握寵物行業快速發展的時機，為公司儲備和培育新的戰略發展項目，降低併購前期的項目風險，有助於提高公司盈利水平和市場競爭力，符合公司可持續發展及穩定增長的需求。
公司此次與專業投資機構合作設立產業基金的資金來源為公司自有資金，不影響公司正常的經營活動，對公司當期和未來財務狀況和經營成果不存在重大影響，不存在損害上市公司及全體股東利益的情形。基金的業務不會與公司發生同業競爭或關聯交易；如公司後續與該基金髮生關聯交易，公司將依法履行相關審議程序及信息披露義務。
