航天信息(600271.SH)：建議向下修正可轉換公司債券轉股價格
格隆匯12月6日丨航天信息(600271.SH)公佈，經中國證券監督管理委員會下發《關於核准航天信息股份有限公司公開發行可轉換公司債券的批覆》(證監許可﹝2015﹞997號)文件核准，公司於2015年6月12日發行總額為24億元，債券期限為6年的可轉換債券。本次發行的可轉換債券於2015年6月30日起在上海證券交易所掛牌交易，可轉債簡稱“航信轉債”，可轉債交易代碼“110031”。
根據《募集説明書》的相關條款，在本可轉債存續期間，當公司股票在任意連續20個交易日中有10個交易日的收盤價低於當期轉股價格的90%時，公司董事會有權提出轉股價格向下修正方案並提交公司股東大會表決。該方案須經出席會議的股東所持表決權的三分之二以上通過方可實施。股東大會進行表決時，持有本可轉債的股東應當迴避。修正後的轉股價格應不低於該次股東大會召開日前20個交易日公司股票交易均價和前1個交易日均價之間的較高者，同時修正後的轉股價格不低於最近一期經審計的每股淨資產和股票面值。若在前述20個交易日內發生過轉股價格調整的情形，則在轉股價格調整日前的交易日按調整前的轉股價格和收盤價計算，在轉股價格調整日及之後的交易日按調整後的轉股價格和收盤價計算。
截至目前，《募集説明書》中約定的轉股價格向下修正的條件已經滿足。為了保護債券持有人的利益，優化公司資本結構，支持公司長期發展，維護投資者權益，公司於2019年12月6日召開的第七屆董事會第七次會議審議通過了《關於向下修正“航信轉債”轉股價格的議案》，建議根據《募集説明書》的相關條款修正“航信轉債”的轉股價格，並提交股東大會審議。修正後的轉股價格應不低於該次股東大會召開日前20個交易日公司股票交易均價和前一交易日的公司股票交易均價，同時修正後的轉股價格不低於最近一期經審計的每股淨資產值和股票面值。轉股價格保留兩位小數（尾數向上取整）。如審議本議案的股東大會召開時上述任一指標高於調整前“航信轉債”的轉股價格(41.94元/股)，則“航信轉債”轉股價格無需調整。
根據公司《章程》及上海證券交易所《股票上市規則》的有關規定，公司將於2019年12月25日召開2019年第二次臨時股東大會，審議《關於向下修正“航信轉債”轉股價格的議案》。
