宏川智慧(002930.SZ)子公司擬3億元收購嘉信化工倉儲100%股份
格隆匯12月5日丨宏川智慧(002930.SZ)公佈，公司全資子公司東莞三江港口儲罐有限公司(“東莞三江”)於2019年12月5日與江蘇新寧現代物流股份有限公司(“新寧物流”)簽署了《關於中山市嘉信化工倉儲物流有限公司之股權轉讓協議》，擬使用自籌資金收購新寧物流持有的中山市嘉信化工倉儲物流有限公司(“標的公司”)100%股份(“標的股權”)，股權轉讓價格為3億元。此次標的股權收購事項完成後，公司將間接持有標的公司100%股權。
中山市嘉信化工倉儲物流有限公司經營範圍：投資倉儲物流業；國內貿易(不含工商前置審批事項)；房屋租賃；人力貨物搬運、人力裝卸服務；化工產品(不含危險化學品)的倉儲；危險化學品倉儲經營、帶儲存設施經營(具體經營範圍見危險化學品經營許可證(粵中安經字[2015]72號)及其附表)。(依法須經批准的項目，經相關部門批准後方可開展經營活動。)
公司系一家石化倉儲物流綜合服務提供商，主要為境內外石化產品生產商、貿易商和終端用户提供倉儲綜合服務及其他相關服務，業務具體包括裝卸、倉儲、過駁、中轉、物流鏈管理等。
標的公司所屬行業與公司相同，位處珠江西岸的中山市，北接廣州市和佛山市、西鄰江門市和珠海市、東南連珠海市，其石化倉儲服務可全面輻射珠江西岸的製造業集羣；另外，中山市將致力成為珠江東西兩岸融合發展的支撐點、粵港澳大灣區樞紐城市，未來發展可期。
此次股權收購將使公司倉儲業務版圖在粵港澳大灣區內拓展至珠江西岸，有力的填補了公司珠江西岸石化倉儲業務的空白，將與公司現有的珠江東岸石化倉儲業務形成有效協同。、
優質的碼頭、儲罐資產是影響石化倉儲企業經營的核心因素，通過此次交易，公司將取得標的公司的石化倉儲經營優質資產，進一步增強公司的競爭實力。
此次股權收購完成後，公司運營及在建的碼頭個數由5座增加至6座，運營及在建的儲罐個數由375座增加至455座，運營及在建的儲罐總罐容由192.86萬立方米增加至199.02萬立方米，運營及在建的化工倉庫建築面積由約9072.12平方米增加至約22200.87平方米，增幅為144.72%。
標的公司現有化工倉庫總計10座，建築面積合計約13128.75平方米；其中，甲類化工倉庫8座，建築面積約12043.70平方米，丙類化工倉庫2座，建築面積約1085.05平方米。公司子公司東莞三江、東莞市宏川化工倉儲有限公司、福建港豐能源有限公司的現有及在建的化工倉庫建築面積合計約9072.12平方米。此次收購完成後，公司現有及在建的化工倉庫建築面積總計將達到約22200.87平方米，化工倉庫規模得到大幅提升，將有力促進公司倉儲綜合服務實力的增強。
