桂冠電力(600236.SH)披露長江電力大宗交易增持公司股份情況説明
格隆匯12月2日丨桂冠電力(600236.SH)公佈，12月2日公司收到長江電力發公司的《公司股東關於大宗交易增持股份的情況説明的公告》，公司現將該文原文披露如下：
“一、長江電力大宗交易桂冠電力的情況説明
(一)本次增持前持股情況
基於對貴司經營理念、發展戰略的認同和未來前景的看好，我司自2018年底以來，分步實施對貴司股權投資。截至2019年11月24日，我司持有貴司股份為340,632,887 股，佔貴司總股本的4.32%。
二)本次大宗交易增持情況
2019年11月初，廣西投資集團有限公司(以下簡稱廣投集團)基於支持地方經濟穩增長及平衡戰略發展資金需求，提出擬通過大宗交易方式減持貴司部分股份。基於與廣投集團良好的戰略合作關係以及對貴司發展前景的看好，我司與廣投集團就本次大宗交易達成一致。2019年11月25日，經雙方協商，最終採用大宗交易方式於11月25日15:13，一筆成交126,613,000股，佔貴司總股本的1.61%，成交價格4.79元/股（當日加權平均價），成交總金額606,476,270元。至此，我司累計持有貴司股份比例達到5.93%。
上述交易實施後，我司立即發函告知貴司，配合提供簡式權益變動報告書等相關材料，由貴司及時公告，履行信息披露義務。
二、自查及整改情況
經自查，我司雖然在持股首次達到5%後，第一時間公告了權益變動報告書，但因我司經辦人員對《上市公司收購管理辦法》相關條款未能準確掌握，理解存在偏差，未把本次大宗交易進行分拆，導致在首次持股達到5%臨界點時，超出的股份遠超1手以上。
基於上述情況，我司相關部門責任人進行了深刻自查反省，已對具體經辦人員進行了嚴肅批評教育，責令其重新鞏固學習《證券法》《上市公司收購管理辦法》等相關法律法規和規範性文件，進一步規範股票買賣行為，杜絕此類事件再次發生。我司就本次交易行為給貴司及貴司全體股東造成的不便，致以誠懇的歉意。
