四川雙馬(000935.SZ)：目前天津瑾育間接持有Swiss Education Group 51%的股權等
格隆匯11月29日丨四川雙馬(000935.SZ)公佈，公司分別於2019年11月6日、2019年11月22日召開的第七屆董事會第二十四次會議、2019年第一次臨時股東大會審議通過了《關於以可轉股債權方式對外投資暨關聯交易的議案》，同意上市公司以人民幣6.45億元對天津瑾育管理諮詢有限公司(“天津瑾育”)以可轉股債權的形式進行投資，上市公司此次向天津瑾育的投資款僅用於天津瑾育通過下屬的間接設立在英屬維京羣島(“BVI”)的特殊目的實體(即SPV，Skill Dragon Limited)收購Jiarui Investment (Hong Kong) Company Limited(嘉鋭投資(香港)有限公司，“Jiarui”)持有的Swiss Education Group Holding AG(一家位於瑞士註冊成立的公司，“SEG Holding”或“目標公司”)51%股權及享有原股東貸款的51%權益。此次轉讓中，設立在香港的SPV(Castle Loyal Limited，為Skill Dragon Limited的全資子公司)向Jiarui購買目標公司73.13%的股權，交易作價約2.6265億瑞士法郎；同時，Castle Loyal Limited向Jiarui發行49%股份購買目標公司剩餘26.87%的股權及原股東貸款100%的權益。交易完成後Skill Dragon Limited間接持有目標公司51%的股權並享有原股東貸款的51%權益。
2019年11月22日，鑑於上市公司與天津瑾育、河南省和諧錦豫產業投資基金(有限合夥)及西藏昱馳創業投資管理有限公司簽署的《可轉股債權投資協議》中約定的上市公司以可轉股債權對外投資的所有先決條件均已達成，上市公司已支付上述可轉股債權投資款。
2019年11月28日，公司接到天津瑾育出具的《關於Swiss Education Group Holding AG交易進展的通知函》，具體內容為，於2019年11月27日，天津瑾育設立在香港的間接子公司Castle Loyal Limited已獲得目標公司100%股權，並完成Castle Loyal Limited向Jiarui發行49%股份，目前天津瑾育通過Skill Dragon Limited間接持有目標公司51%的股權並享有股東對目標公司貸款的51%權益。
