ST中天(600856.SH)：誠邀違規債務合同當事人就公司對外擔保及表外負債情況進行確認
格隆匯11月29日丨ST中天(600856.SH)公佈，公司根據近期披露的訴訟情況，公司存在違規對外擔保等表外(或有)負債情況(“違規債務”)，違反了上市公司公司治理、內部控制(特別是對外擔保)的規定，未按公司制度經公司董事會或股東大會審議。目前，中國證監會正在開展對公司違規對外擔保情況的調查
森宇化工油氣有限公司(“森宇化工”)持有公司12.10%表決權，森宇化工獲得公司的控制權後，一直在全力協助公司改善財務狀況，並於2019年8月1日改選了公司董事會。公司董事會聘請了具備較強業務能力的高級管理人員，全面清理債權、債務(包括違規債務)，力求引領公司走出困境。
由於違規債務並未通過公司董事會或股東大會審議，亦未於公司備案，公司目前無法全面瞭解違規債務的情況，更無法儘早解決違規債務給公司正常經營帶來的干擾、無法保護公司及違規債務合同相對方(“相關當事人”)的合法權益。2019年11月8日，最高人民法院印發《全國法院民商事審判工作會議紀要》(法〔2019〕254號)，作為人民法院做出裁決時的説理依據，根據該文件，違規債務屬於無效合同。鑑於此，公司誠邀相關當事人儘快與公司聯繫，全面向公司披露合同及相關文件，已於2019年8月1日之後與公司就相關合同取得聯繫的相關當事人不必再向公司登記。
以本公告發出之日起30日為基準日(即截止到2019年12月31日)，公司於基準日瞭解、知悉的債權、債務情況將作為公司及森宇化工清理、解決公司債務的基礎。
