蒙古能源(00276.HK)擬「10合1」及擬發可換股債券
蒙古能源(00276.HK)公布,建議向股東提呈股本重組,擬「10合1」合併股份,據此每10股每股面值0.02元之已發行現有股份將合併為1股每股面值0.2元之合併股份。削減股本藉註銷每股已發行合併股份0.18元的繳足股本,將已發行合併股份的面值由每股0.20元削減至每股0.02元。預期股本重組將於2020年2月11日生效。
於11月28日,公司與GI認購人訂立GI認購協議。GI認購人同意認購新GI可換股票據。新GI可換股票據的認購款將由公司於GI完成日期用於悉數結清現有GI票據的全部未償還本金額6.24億元及應計利息,兌換價初步為每股新股份1.2元,較新股份經調整收市價每股1.08元溢價約11.1%。
此外,公司與CTF認購人訂立CTF認購協議。,CTF認購人同意認購新CTF可換股票據。
