新開源(300109.SZ)：深圳前海基金的資金已被變更用途 現督促方華生書面文件確保儘快歸還投資款及年化預期8%的收益
格隆匯11月26日丨新開源(300109.SZ)公佈，2018年1月22日，公司第三屆董事會第三十次會議在時任董事長方華生主持下審議通過了《關於公司子公司參與深圳前海中恆富泰基金管理有限合夥企業(有限合夥)出資的議案》，子公司北京新開源精準醫療科技有限公司(“北京新開源”，方華生兼任北京新開源董事長)與乾元明德資本控股(北京)有限公司(“乾元資本”)、北京乾元通和投資管理中心(有限合夥)(“通和投資”)、上海呈霏資產管理合夥企業(有限合夥)(“上海呈霏”)共同參與出資“深圳前海中恆富泰基金管理有限合夥企業(有限合夥)”(“深圳前海基金”)。公司參與投資目的為通過參與投資精準醫療相關行業的成熟企業並獲得投資退出，以實現投資資產保值增值。
深圳前海基金的認繳出資總額不超過10.02億元人民幣，其中，乾元資本作為普通合夥人認繳出資人民幣200萬元，北京新開源作為有限合夥人認繳出資人民幣2億元，通和投資作為有限合夥人認繳出資人民幣4億元，上海呈霏作為有限合夥人認繳出資人民幣4億元。
2018年1月25日，公司向子公司北京新開源轉款1.8億元。北京新開源收款當天將該筆款項以投資款名義轉給深圳前海基金公司。
參與出資以來，公司多次詢問北京新開源該投資的進展情況，都未達到明確回覆。直至2019年9月初董事會換屆時公司再次督促方華生追問該投資進展情況，方華生承認參與出資深圳前海基金的資金實際已被變更使用用途，同時方華生也承諾願意承擔基金的退出及保證資金安全的責任。
現公司為了挽回損失，擬採取措施來保護公司及股東利益。
1、公司通過方華生已取得深圳前海基金的營業執照正、副本原件及公章、財務章及法人章；
2、公司現督促方華生通過書面文件確保儘快將深圳前海基金投資款及年化預期8%的收益予以歸還，若未能及時歸還公司則採取法律等手段維護利益。
公司已採取或正採取一切可能的措施維護自身利益，若該事項未能很好的解決將會為公司帶來損失的風險。
