氯鹼化工(600618.SH)：董事總經理張偉民誤操作 致短線交易及超比例減持
格隆匯11月22日丨氯鹼化工(600618.SH)公佈，公司董事總經理張偉民於2019年4月30日—2019年5月6日期間通過上海證券交易所集中競價交易系統買賣公司A股股票。
2019年4月30日，公司董事總經理張偉民股票帳户賣出公司股票1萬股，成交均價為9.15元/股；2019年5月6日，公司董事總經理張偉民股票帳户買入公司股票1萬股，成交均價為9.20元/股。
上述買賣公司股票的行為違反了《證券法》第四十七條及《上海證券交易所股票上市規則》第3.1.8條的規定，構成短線交易；同時違反了《公司法》第一百四十一條的規定，構成超比例減持；也違反了《上海證券交易所股票上市規則》第3.1.7條、《上市公司股東、董監高減持股份的若干規定》第八條及《上海證券交易所上市公司股東及董事、監事、高級管理人員減持股份實施細則》第十三條的規定，未能盡到交易報備及預披露責任。
依據《證券法》第四十七條的規定，短線交易產生的收益應收歸公司所有。按照此次張偉民六個月內賣出又買入公司股票計算，上述短線交易未產生收益。
經與張偉民確認，上述買賣公司股票的行為系其親屬操作失誤造成，其本人已認識到此次交易違反了有關規定，並就此次行為向公司及廣大投資者表示歉意，同時承諾將認真學習相關法律、法規，嚴格規範買賣公司股票的行為，加強對其親屬及股票賬户管理，切實履行自己的職責和義務。經公司核查，張偉民股票帳户的上述交易行為未發生在公司信息披露的敏感期內，亦不存在因知悉內幕信息而交易公司股票的情況。
公司已要求全體董事、監事、高級管理人員進一步加強對《證券法》、《上市公司董事、監事和高級管理人員所持本公司股份及其變動管理規則》等相關法律法規、規範性文件及公司內部管理制度的學習，並要求各相關人員自身及其親屬嚴格遵守有關規定，避免此類情況的再次發生。
