兆馳股份(002429.SZ)及子公司擬合計受讓兆馳照明49%股權
格隆匯11月22日丨兆馳股份(002429.SZ)公佈，公司及公司全資子公司深圳市兆馳供應鏈管理有限公司(“兆馳供應鏈”)擬與深圳市光兆未來管理諮詢合夥企業(有限合夥)(“光兆未來”)簽訂股份轉讓協議，分別受讓光兆未來持有的深圳市兆馳照明股份有限公司(“兆馳照明”)48%和1%的股權。鑑於光兆未來對兆馳照明認繳出資額為人民幣9800萬元，實繳出資額為人民幣240萬元，故此次股權轉讓的交易金額分別為人民幣240萬元和1元，同時由公司和兆馳供應鏈分別承擔標的股權9360萬元和200萬元的出資義務。此次股權轉讓完成後，兆馳照明將成為公司100%合併報表的子公司。
智能照明是近兩年來產業關注的熱點，為了進一步完善公司在照明全產業鏈的佈局規劃，通過此次投資，公司將整合照明領域的優勢資源和平台，提高研發創新能力，發展創新照明應用計劃，打造自主品牌，不斷提升公司品牌影響力，促進公司相關產業鏈的快速發展及業務盈利水平，為公司帶來新的利潤增長點，提高上市公司核心競爭力及綜合實力，為股東創造更好的價值回報。
兆馳照明自成立以來，在產品方面已推出數千餘款產品，覆蓋商照、工程、家居、流通、電商、房地產集採等渠道等數十個品類，已建立成熟的產品體系；在銷售方面採取線上線下協同發展，品牌燈具已進駐京東、天貓商城，同時全國開發運營中心三十餘家，各類經銷商一千四百餘家，覆蓋了二十二個省份，房地產集採已逐步構建強有力的服務壁壘和產品壁壘，不斷提升核心競爭力。經過兩年的品牌推廣和市場建設，兆馳照明逐步得到了行業認可，被古鎮燈飾報、中國燈飾報評為“年度風雲品牌”。公司此次對外投資旨在積極打造以“芯片+封裝+應用照明”為一體的LED全產業鏈佈局，進一步拓展公司業務範圍，通過整合行業優質資源，最大化發揮協同效應，提升公司產品的市場佔有率，符合公司的戰略規劃和業務發展需要，有利於公司下游市場的進一步擴展，提高整體核心競爭力，符合全體股東的利益。
