中國能源建設(03996.HK)擬1億元受讓廣州海珠區土地使用權及建築物等存續資產
格隆匯11月21日丨中國能源建設(03996.HK)公告,於2019年11月21日,公司附屬公司廣東能建電力設備廠有限公司(廣設公司)與中國能源建設集團資產管理有限公司(資產公司)簽訂實物資產轉讓協議,據此,資產公司同意將其賬下持有的廣東省廣州市海珠區南石路5號、南石路8號劃撥土地使用權及地上建築物等存續資產以代價人民幣1億元轉讓給廣設公司。
經北京中地華夏土地房地產評估有限公司以2019年5月31日為評估基準日採用成本法進行評估,出具了編號為中地華夏2019[估]字第156號的《房地產估價報告》,目標資產的評估總價為人民幣1億元。資產公司、廣設公司雙方在資產公司對上述目標資產享有所有權及《房地產估價報告》評估結果的基礎上達成實物資產轉讓協議各項條款。目標資產未設定任何形式的擔保,包括但不限於該目標資產存在抵押、或任何影響目標資產轉讓的限制或義務。
目標資產也未被任何有權機構採取查封等強制性措施。目標資產最初乃為廣設公司改制前的前身公司無償獲得的劃撥地,2014年本公司整體改制上市前,按照國有企業改制要求或有關指導意見,因目標資產為土地及相關房產權屬不完善的資產,能建集團下發《關於中國能建集團裝備有限公司存續資產剝離劃轉有關事項的通知》(中能建資財[2014]520號)(劃轉通知),將目標資產劃轉至資產公司,並從本集團的資產範圍剝離出去。由於政策原因,目標資產的土地和房產權證無法完成辦理變更登記,仍登記在廣設公司改制前的前身公司名下。
由於目標資產現已納入廣州市2019年土地收儲計劃,而根據當地政府部門的要求,僅能由廣設公司辦理有關土地收儲事項,因此,簽訂實物資產轉讓協議能夠實現政府土地收儲,滿足資產處置本身的需要。其次,政府回收目標資產的價格預計高於廣設公司受讓目標資產的評估價格,因此,本公司附屬公司通過受讓目標資產並進一步轉讓予政府收儲將獲得明確的經濟收益。
