瑞凌股份(300154.SZ)擬參設產業投資基金 主要投向為圍繞公司主業及轉型發展相關的項目
格隆匯11月19日丨瑞凌股份(300154.SZ)公佈，2019年11月18日，公司第四屆董事會第九次會議審議通過了《關於擬參與投資設立產業投資基金的議案》，同意公司使用自有資金與深圳市建信遠致投貸聯動股權投資基金合夥企業(有限合夥)(“建信遠致”)、深圳市建信遠致投貸聯動股權投資基金管理有限公司共同投資設立建信遠致智能製造產業投資基金(有限合夥)(“產業投資基金”或“合夥企業”)(暫定名，以工商最後核名為準)。
該產業投資基金為有限合夥制，由公司、建信遠致作為有限合夥人，深圳市建信遠致投貸聯動股權投資基金管理有限公司作為普通合夥人發起設立，總規模為人民幣5億元，公司擬以自有資金認繳出資額為人民幣2.5億元，其中公司首期出資額為人民幣1.25億元。
投資或收購圍繞瑞凌股份主業及轉型發展相關的項目，重點投資於焊接設備/裝備、配件；智能製造；新能源(儲能、電驅等)；電力電子、半導體；其他相關前沿科技領域等，為瑞凌股份提供資源整合拓展、投資項目挖掘、融資渠道擴展及資本運作等服務，最終協助瑞凌股份通過投資合作、上市公司併購重組等方式實現業務規模擴大、收益水平改善、市值提升等多重目標。
公司此次擬參與投資設立的產業投資基金，主要投資方向為投資或收購圍繞瑞凌股份主業及轉型發展相關的項目，重點投資於焊接設備/裝備、配件；智能製造；新能源(儲能、電驅等)；電力電子、半導體；其他相關前沿科技領域等，為瑞凌股份提供資源整合拓展、投資項目挖掘、融資渠道擴展及資本運作等服務，最終協助瑞凌股份通過投資合作、上市公司併購重組等方式實現業務規模擴大、收益水平改善、市值提升等多重目標。同時充分利用外部專業投資機構的資源優勢、管理經驗及完善的風險控制體系，為公司業務發展和實力提升尋找新的增長點，推進公司的發展戰略。
