科創新源(300731.SZ)擬收購鎮江華浩60%股權 更好地服務通信主設備商以及國內外運營商
格隆匯11月18日丨科創新源(300731.SZ)公佈，為進一步執行公司聚焦於通信行業的戰略，充實公司在通信行業建立的銷售網絡，更好地服務通信主設備商以及國內外運營商，2019年11月18日，公司與自然人吳剛、孔瑞華(“轉讓方”)簽署了《關於收購鎮江華浩通信器材有限公司60%股權的框架協議》，公司擬以現金方式購買轉讓方持有的鎮江華浩通信器材有限公司(“標的公司”或“鎮江華浩”)60%股權。此次交易完成後，科創新源將持有鎮江華浩60%股權。
鎮江華浩通信器材有限公司經營範圍：通信器材及配件、電子元件、接插件的製造、加工、銷售；半導體分立元器件、集成電路、光電子元器件、系統集成產品、寬帶多媒體設備及配件、物聯網設備、人工智能設備、汽車電子電源設備的製造、研發；自營和代理各類商品及技術的進出口業務(國家限定企業經營或禁止進出口的商品及技術除外)。(依法須經批准的項目,經相關部門批准後方可開展經營活動)
協議當事人：甲方：深圳科創新源新材料股份有限公司(“甲方”或“科創新源”)；乙方一：吳剛；乙方二：孔瑞華；丙方：鎮江華浩通信器材有限公司(“標的公司”、丙方或“鎮江華浩”)。
協議的主要內容：鑑於：(1)乙方合計持有標的公司3000萬元出資額，佔註冊資本的100%；(2)乙方同意將其合法擁有的標的公司1800萬元出資額(佔標的公司註冊資本的60%)轉讓給甲方，其中乙方一轉讓【1350】萬元出資額(佔標的公司註冊資本的45%)轉讓給甲方；其中乙方二轉讓【450】萬元出資額(佔標的公司註冊資本的15%)轉讓給甲方。經各方協商一致，甲方擬以現金方式購買乙方持有的鎮江華浩60%股權，此次交易完成後，科創新源將持有鎮江華浩60%股權。雙方同意，此次交易對鎮江華浩100%股權預估值為4200萬元至4600萬元，最終的交易價格將以2019年11月30日為評估基準日，由具有證券從業資格的資產評估機構對標的公司進行評估，以《資產評估報告》中確定的鎮江華浩截至評估基準日的收益法評估價值作為此次交易的定價依據。
鎮江華浩主要從事通信用連接器的研發、生產及銷售，如此次收購成功，將在豐富公司產品系列的同時，可與公司現有產品有效協同，提升公司綜合服務能力，並提高公司的整體競爭力，符合公司和全體股東的利益。
此次交易文件尚未正式簽署，此次簽署的《收購框架協議》僅為公司與標的公司股東方達成的初步意向，能否簽署正式協議或合同並履行尚存在不確定性，對公司當年的經營業績影響暫無法估計。
