*ST柳化(600423.SH)：相關資產包二的拍賣 確認公司第一大股東元通公司為其買受人
格隆匯11月18日丨*ST柳化(600423.SH)公佈，公司於2019年10月26日委託廣西萬誠拍賣有限公司(“萬誠拍賣”)對公司兩項資產包進行公開拍賣。在2019年11月2日、11月10日進行的兩輪公開拍賣中，資產包二(“資產包”)都因在規定時間內無競買人應價而流拍，公司及管理人於2019年11月10日再次委託萬誠拍賣對資產包進行第三輪公開拍賣。
萬誠拍賣於2019年11月18日10：00時在柳州市晨華路12號盛豐國際1棟3樓1號拍賣大廳對公司上述資產包進行了第三輪公開拍賣。
此次拍賣的標的資產包，為公司其他低效資產，包括對外債權、機器設備以外的固定資產和長期待攤費用、股權，合計賬面淨值約8.50億元，評估值約5.01億元，快速變現估值約3.76億元。在11月2日及11月10日進行的兩輪拍賣中，資產包均經過三次拍賣因無人應價而流拍。本輪第一次拍賣在第二輪第三次拍賣的保留價基礎上降價20%作為起拍保留價，即起拍保留價為9848.59萬元，第一次拍賣在規定時間內無人應價不成交；後公司管理人現場通知萬誠拍賣調低保留價20%至7878.87萬元進行第二次拍賣，第二次拍賣在規定時間內無人應價不成交；後公司管理人現場通知萬誠拍賣調低保留價12%至6933.41萬元進行第三次拍賣，柳州元通投資發展有限公司(“元通公司”)在6983.41萬元應價併成交。
此次登記參加拍賣的競買人共兩家，根據萬誠拍賣和元通公司雙方簽章有效的《拍賣成交確認書》，確認元通公司成為公司資產包的買受人。因元通公司是公司的第一大股東，此次交易構成關聯交易。
此次資產拍賣是執行《重整計劃》的需要。通過資產包的處置，公司資產結構得到較大程度優化，有利於促進公司未來向好發展。但本次資產拍賣成交價格較低，將有可能導致較大的資產處置損失，增加公司當期虧損，因本次資產處置包括對外債權、固定資產和長期待攤費用以及公司擁有的6家公司的股權等，涉及的面比較廣，具體損失目前暫無法確定，公司將嚴格依據企業會計準則的規定確認損益，會計處理及具體損失金額最終以會計師事務所審計結果為準。特別提醒廣大投資者注意投資風險。
