合縱科技(300477.SZ)子公司與泰豐先行簽署戰略合作框架協議
格隆匯11月15日丨合縱科技(300477.SZ)公佈，鑑於公司的全資子公司湖南雅城新材料有限公司(“湖南雅城”或“乙方”)作為四氧化三鈷和磷酸鐵產品的技術和規模領先企業，在品種規格和供貨數量上有很強優勢，青海泰豐先行鋰能科技有限公司(“泰豐先行”或“甲方”)作為中國鋰離子正極材料的知名企業，在鋰離子正極材料的研發、生產加工和銷售等領域都具有很強的實力，基於甲乙雙方有意將合作推進到更深層次，共享各自擁有的技術和管理優勢，利用雙方現有資源和信息，合作共贏，甲乙雙方經友好協商於近日簽訂了《購銷戰略合作框架協議》。
甲方作為中國鋰離子正極材料的知名企業，在鋰離子正極材料的研發、生產加工和銷售等領域都具有很強的實力。乙方作為四氧化三鈷和磷酸鐵規模和技術領先企業，在品種規格和供貨數量上有很強優勢。
雙方有意將合作推進到更深層次，共享各自擁有的技術和管理優勢，利用雙方現有資源和信息，合作共贏，現經雙方友好協商，就合作事宜簽訂了協議，協議主要內容如下：
(一)協議有效期限：協議有效期三年（2020年1月1日～2022年12月31日)
(二)產品、採購數量及其價格
產品：磷酸鐵/四氧化三鈷/新產品開發;數量：(合同執行時，該數量將根據實際需求變化予以適當調整，具體按雙方所籤月度合同之相關約定執行)
價格：考慮到甲乙雙方為戰略合作關係，在參照市場行情及原料成本變化的前提下，乙方將以相對最優惠的價格供貨給甲方。
(三)作為戰略合作伙伴，雙方需保障對方的戰略優先地位：
1、雙方正在進行及即將進行的前沿開發項目，根據雙方意向，可互為開放，共同開發。2、甲方新的研發立項或新的產品開發需求，需優先通知乙方進行合作開發，並提供產品開發所需的充分資料，包括但不限於技術指標、SEM、各種電化學性能要求、檢測方法以及已知的同行已經達到的技術水平等等。3、乙方需積極配合甲方的產品開發工作，保障優秀的技術人員參與開發計劃，同時期項目優先立項實施，設備和其他資源優先使用；在甲方要求時限內，研發適於甲方所開發產品的產品，協助甲方完成產品開發計劃，以及向甲方供應滿足甲方技術要求的產品。
湖南雅城作為公司的全資子公司，其主要產品四氧化三鈷和磷酸鐵在技術、品種規格和供貨數量上有很強優勢。泰豐先行是中國鋰離子正極材料的知名企業，在鋰離子正極材料的研發、生產加工和銷售等領域都具有很強的實力。
雙方一致認為，進行鋰電池正極材料前驅體方面技術、產能與市場資源的聯合與合作，構造共同價值鏈，符合雙方發展的戰略利益，符合市場的戰略需求。同時，將進一步推動湖南雅城在鋰電池正極材料前驅體制造領域的技術與市場領先地位，有利於促進湖南雅城鋰電池正極材料前驅體產能釋放與規模擴展，有效降低產品生產成本，提升湖南雅城核心產品的綜合競爭力。
