華勝天成(600410.SH)：ASL擬將GDI整體注入一家於納斯達克上市的公司 GDI總估值3.98億美元
格隆匯11月13日丨華勝天成(600410.SH)公佈，公司控股子公司Automated Systems Holdings Limited(“ASL”)擬將下屬全資子公司GDD International Holdings Co.(“GDD”)持有的下屬子公司Grid Dynamics International, Inc.(“GDI”)整體注入一家在美國註冊、納斯達克證券交易所上市的名為ChaSerg Technology Acquisition Corp(“ChaSerg”或“美國上市公司”)的特殊目的收購公司(Special Purpose Acquisition Company ，簡稱“SPAC”)。
此次交易中GDI總估值為3.98億美元，交易標的為GDD持有的GDI 90.09%股權，GDD將獲取所持股份的相應對價，包含約9360萬美元現金及1839.0967萬股ChaSerg股份作為交易對價。
此次交易前，GDI是GDD持股90.09%的控股子公司；交易完成後，GDD不再持有GDI股權，ChaSerg將持有GDI 100%股權，GDD將持有ChaSerg約34.3%股權，GDI將成為公司聯營公司，不再納入公司合併報表範圍。
公告顯示，GDI成立於2006年，總部設立於美國加利福尼亞州的門洛帕克市，並在東歐三國擁有專業的軟件研發資源。GDI在開源技術、雲端應用、大數據實時分析等方面擁有豐富的經驗及管理能力，其主要業務是為零售、金融、媒體及科技行業的企業客户提供基於開源技術的全渠道電子平台核心系統開發、雲端交付、大數據實時分析等IT服務。
2017年4月，ASL全資子公司GDD以1.18億美元對GDI進行併購（詳見公司2017關於併購GDI的系列公告）。自併購以來，GDI的業務健康快速發展，其在市場開拓、客户獲取以及產品、技術等方面均實現了較大突破。GDI成長為一家在雲計算、大數據技術及應用領域具有領先優勢的科技公司，成為公司“雲勝”行業雲業務的主要構成部分。GDI在美國證券化，對GDI公司的品牌影響力、業務及市場拓展都將產生積極的影響，將更加有利於公司行業雲業務在國外市場的戰略發展。同時，GDI在美國實現證券化，交易後GDD獲取美元現金及美國上市公司的股票，在體現GDI合理估值的同時，加強了公司資產的流動性。
交易完成後，GDI將繼續按照原定的業務合作策略與公司及各成員企業合作，在項目層面及技術整合引進層面進一步探索協同效用。
