鴻路鋼構(002541.SZ)子公司簽訂國有建設用地使用權收回補償協議 徵用補償額約1.07億元
格隆匯11月12日丨鴻路鋼構(002541.SZ)公佈,近日,公司全資子公司安徽華申經濟發展有限公司(“安徽華申”)與安徽長豐雙鳳經濟開發區管理委員會(“長豐雙鳳管委會”)簽訂《雙鳳經開區國有建設用地使用權收回補償協議》,依據皖新安房評報字【2019】第116號報告與長豐縣土地儲備評估複核小組出具的複審意見,徵用補償金額共計約1.07億元。
此次交易的土地、房產位於長豐縣雙鳳開發區鳳慶路與魏武路交口東南角收購總面積為43843.74平方米(合113.16畝)(長豐縣國用(2015)第5623號、長豐縣國用(2015)第5624號;長房字第008849號、長房字第008850號),帳面原值約8305.39萬元,截止2019年10月31日,帳面淨值(未經審計)約5285.04萬元。標的資產屬於公司全資子公司安徽華申的生產基地,由於城市規劃的調整,生產基地周邊區域已成為成熟的商業社區,不再適合作為生產加工基地。所以出售該部分資產,是城市發展的需要,同時補償的收益也有利於盤活公司的資產,保障廣大股東的利益。
此次交易按評估價獲得合理的補償款,價格公允,充分保證了廣大股東的利益。預計可獲得税前利潤約5408萬元,同時增加現金流約1.07億元,可以進一步盤活公司存量資產,減少資產折舊,降低財務成本。對2019年度的業績影響視收儲補償款到賬時間情況予以確認,尚存在不確定性,具體數據以公告為準。
收儲後工人及設備可以搬遷至新建安徽長豐縣下塘生產基地,所以對公司的鋼結構產能不會產生影響,也不會產生員工安置費用。交易收到的款項暫時不會投入到新建鋼結構生產基地,主要用於補充現金流及公司經營,產生利好的影響。
