四川雙馬(000935.SZ)擬以可轉股債權形式對天津瑾育投資6.45億元 僅用於收購SEG Holding股權事項
格隆匯11月6日丨四川雙馬(000935.SZ)公佈，公司擬對天津瑾育管理諮詢有限公司(“天津瑾育”)以可轉股債權的形式進行投資，投資金額為人民幣6.45億元。
公司此次向天津瑾育進行的投資應僅用於天津瑾育通過下屬的設立在英屬維京羣島(“BVI”)的特殊目的實體(即SPV，Skill Dragon Limited)收購Swiss Education Group Holding AG(一家位於瑞士註冊成立的公司，“SEG Holding”或“目標公司”)51%股權及享有原股東貸款的51%權益。
同時，公司與天津瑾育及天津瑾育股東河南省和諧錦豫產業投資基金(有限合夥)(“和諧錦豫”)和西藏昱馳創業投資管理有限公司(“西藏昱馳”)約定，在可轉股債權投資期限內，若投資協議約定的債轉股的先決條件全部滿足後，四川雙馬須根據投資協議的約定實施債轉股，公司須至遲在投資期限屆滿前向天津瑾育發出書面通知，要求根據投資協議的條款和條件實施債轉股。
公司主要從事生產、銷售硅酸鹽水泥等相關係列產品，主要產品為水泥、商品熟料、骨料等，近年以來，公司業務覆蓋區域的經濟呈現加速發展、後發趕超的態勢，宜賓市着力打造四川經濟副中心，區域內多個高速公路、高速鐵路項目開工建設；遵義市經濟總量穩步上升，經濟增長的質量和效益持續改善。地方經濟的發展為水泥需求的增長注入了新的活力，為公司經營業績的持續改善提供了有力支撐。上市公司在持續做好主營業務經營的同時，將充分利用自身資本優勢，積極布局符合國家政策的相關產業，拓展公司產業佈局，提升公司經營抗風險、抗週期能力，繼續增強公司的盈利水平。
此次對外投資是上市公司在投資教育產業領域的重要佈局，符合上市公司的長期戰略規劃和業務需求，對實現上市公司控股、管理優質企業具有重要的戰略意義。
在可轉股債權投資期限內，若投資協議約定的轉股的先決條件全部滿足後，四川雙馬須根據投資協議約定的條款和條件實施債轉股，上市公司須至遲在投資期限屆滿前向天津瑾育發出書面通知，要求根據投資協議約定的條款和條件實施轉股。投資協議約定的轉股先決條件如下：①四川雙馬已經根據協議的規定向天津瑾育提供了可轉股債權投資；②投資期限屆滿前，SEGHolding收購已經根據收購文件的條款和條件完成了交割；
公司在將對天津瑾育的可轉股債權投資轉換為天津瑾育的股權後，即可通過天津瑾育間接持有SEG Holding的股權，對上市公司主動進行戰略升級具有重要意義。因此，此次對外投資暨關聯交易不屬於上市公司及其控股子公司有償或者無償對外提供財務資助的行為。
