愛爾眼科(300015.SZ)擬收購多家眼科醫院並募集配套資金 明起復牌
格隆匯10月29日丨愛爾眼科(300015.SZ)公佈，公司擬以發行股份方式購買磐信投資、磐茂投資合計持有的天津中視信100%股權，擬以發行股份及支付現金方式購買眾生藥業持有的奧理德視光100%股權與宣城眼科醫院80%股權(該等股權對應的交易作價中的70%部分擬由上市公司以現金方式支付)，擬以發行股份方式購買李馬號、尚雅麗、重慶目樂、杭州仰健擬合計持有的萬州愛瑞90%股權與開州愛瑞90%股權，該等股權的預估值和初步交易作價尚未確定(具體交易作價將根據具有證券期貨相關業務資質的資產評估機構出具的評估報告確定)。
同時，公司擬向不超過5名特定投資者以發行股份方式募集配套資金，募集配套資金總額預計不超過此次擬以發行股份方式購買資產交易價格的100%，擬用於支付此次交易的現金對價、此次交易相關中介機構費用及補充上市公司流動資金。此次募集配套資金髮行股份的數量不超過公司此次交易前總股本的20%(即不超過約6.1956億股)，最終發行數量將在中國證監會核准後，按照《發行管理辦法》的相關規定，根據詢價結果最終確定。
經向深圳證券交易所申請，公司股票將於2019年10月30日開市起復牌。鑑於此次重組涉及資產的審計、評估工作尚未完成，公司董事會決定暫不召開審議本次重組事項的臨時股東大會。公司將在相關審計、評估工作完成後，再次召開董事會審議本次重組的相關事項，並由董事會召集臨時股東大會審議與此次重組相關的議案。
公告顯示，天津中視信於2019年10月22日分別與中鈺基金、安星基金、亮視交銀簽署了股權收購協議，向其收購阿迪婭愛爾、安慶愛爾、百色愛爾、大連愛爾、大同愛爾等合計26家眼科醫院有限公司股權。中鈺基金、安星基金、亮視交銀均為愛爾眼科參與設立的產業基金。截至預案簽署日，上述股權轉讓尚未完成相關工商登記手續。
截至預案簽署日，奧理德視光擁有湛江奧理德、中山奧理德兩家控股子公司。2019年10月18日，奧理德視光與第三方簽署了股權轉讓協議，轉讓奧理德視光持有的中山奧理德100%股權。截至預案簽署日，上述股權轉讓尚未完成相關工商登記手續。
截至預案簽署日，宣城眼科醫院無參、控股子公司；萬州愛瑞無參、控股子公司；開州愛瑞無參、控股子公司。
此次公司擬收購多家眼科醫院，屬於公司原有業務的擴展，有助於實現自身的業務協同。此次交易完成後，公司在眼科醫療服務領域的市場佔有率與業務規模將進一步得到擴大和提升，有利於幫助上市公司把握行業發展機遇期，加快佔領市場份額和行業整合，擴大人才團隊，增強區域醫院的協調效應；有助於加快上市公司眼科醫院的全國網絡建設步伐，完善眼科產業鏈佈局，為上市公司持續、快速、健康發展提供堅實的基礎，加強與鞏固行業領先地位。
