易聯眾(300096.SZ)擬1.14億元轉讓保理公司100%股權予海航金融
格隆匯10月23日丨易聯眾(300096.SZ)公佈，公司持有全資子公司廈門易聯眾商業保理有限公司(“保理公司”)100%股權。為了優化投資結構，降低投資風險，集中資源聚焦公司有優勢的主營業務，公司擬將持有的保理公司100%股權以約人民幣1.14億元的價格轉讓給深圳市海航金融投資管理有限公司(“海航金融”)。此次股權轉讓後，公司不再持有保理公司股權，亦不再將保理公司納入合併報表範圍。
廈門易聯眾商業保理有限公司經營範圍：從事商業保理業務；在法律法規允許範圍內受託提供企業破產、清算服務；從事企業購併、投資、資產管理、產權轉讓的中介服務；其他未列明商務服務業(不含需經許可審批的項目)；接受金融機構委託從事金融信息技術外包、金融業務流程外包及金融知識流程外包；商務信息諮詢；企業管理諮詢；投資諮詢(法律、法規另有規定除外)；投資管理諮詢(法律、法規另有規定除外)；對第一產業、第二產業、第三產業的投資(法律、法規另有規定除外)；非證券類股權投資及與股權投資有關的諮詢服務(法律、法規另有規定除外)；投資管理(法律、法規另有規定除外)；資產管理(法律、法規另有規定除外)。
公司以大數據為驅動，重點圍繞“醫療保障、衞生健康、人力資源和社會保障”等民生領域，提供全方位的整體解決方案和綜合運營服務，致力於成為中國領先的民生信息服務綜合運營商。
此次股權轉讓是基於優化投資結構、降低投資風險的需要，有利於公司集中管理精力和資源，提高管理運作效率，進一步聚焦與戰略更為緊密的主營業務，符合公司發展戰略需要，符合全體股東和公司利益，有利於保障資金安全，進一步推動公司核心業務穩定發展，實現公司戰略目標。此次股權轉讓根據保理公司截止2019年9月30日歸屬於母公司的賬面淨資產定價，預計該項交易本身對公司2019年度的淨利潤不會產生影響(最終結果仍需以年度審計為準)。此次股權轉讓後，公司不再持有保理公司股權，公司不再將保理公司納入公司合併報表範圍。
同時，公司對受讓方的財務狀況和資信情況進行了考察，認為受讓方有相應的支付及償還能力，公司設置了合理的違約責任條款等保障款項回收的措施，公司收回該等款項的風險較低。
