智升集團控股(08370.HK)擬3720萬港元收購數據中心服務業務
格隆匯10月21日丨智升集團控股(08370.HK)宣佈，公司擬向兩名賣方收購Polyqueue Limited全部已發行股本，代價為3720萬港元，將以發行1.03億股代價股份及1240萬港元可換股債的方式支付，每股發行價及兑換價均為份0.24港元。
據公司的中國法律顧問表示，就於中國經營數據中心業務而言，OPCO須遵守中國法律及法規規定的若干外資所有權限制。
因此，作為重組其中一環，於完成前訂立結構合約有助OPCO的財務業績、全部經濟利益及業務風險流入外商獨資企業，並使外商獨資企業對OPCO的營運擁有全部實際控制權。
目標集團透過OPCO主要於中國上海從事數據中心業務。作為重組其中一環及透過合約安排，目標公司將對OPCO的營運擁有實際控制權，並有權享有OPCO的業務及╱或資產的經濟利益，透過與OPCO及註冊擁有人訂立結構合約，將OPCO入賬列作目標公司的全資附屬公司，而OPCO的財務業績將併入目標集團的財務業績。
OPCO為許可證持有人，主要在中國上海從事數據中心業務，包括提供數據中心、設施管理及增值服務，安裝及保養服務。OPCO於中國上海經營一個數據中心，面積約為660平方米，包括約344個為其客户存置及管理的數據存儲架。數據中心為客户提供從標準機架到度身設計設施的全方位設施管理服務，包括不間斷電源、24小時營運監控服務、數據中心保安及高速互聯網連接。
集團已不斷物色商機以多元化發展其業務、擴闊收益來源並將業務擴展至其他行業。基於5G技術在不久將來投入商業營運，董事認為數碼化及雲計算導致數據用量急升，將推動中國數據中心業持續增長。此外，由於數據中心服務的需求主要源自本地客户，故"中美貿易戰"對其業務的影響微乎其微。董事認為，收購事項乃集團進軍數據中心服務行業的良機，將使集團得以儘量發揮企業價值，令股東受惠。
