金橋信息(603918.SH)：獨立董事壽鄒因其親屬一時疏忽 窗口期誤增持公司股票
格隆匯8月23日丨金橋信息(603918.SH)公佈，公司獨立董事壽鄒因其親屬一時疏忽，導致其證券賬户出現窗口期誤增持公司股票的情況，公司發現後，壽鄒積極配合公司開展調查。
壽鄒為公司現任獨立董事，2019年4月17日，其股票賬户通過集中競價交易買入公司股票5萬股(公司於2019年6月12日實施完成2018年年度權益分派，以資本公積金每10股轉增3股，持股數量增至6.5萬股)，佔公司當時總股本0.03%，成交均價為15.57元/股，成交金額約為77.86萬元。公司於2019年4月27日披露2019年第一季度報告，上述交易行為構成窗口期增持。
雖然壽鄒增持股票時，沒有獲悉公司2019年第一季度報告的財務數據，交易時點亦不存在影響公司股價波動的敏感信息，不屬於利用內幕信息進行交易，但上述交易行為違反了《上市公司董事、監事和高級管理人員所持本公司股份及其變動管理規則》中“上市公司定期報告公告前30日內上市公司董事、監事和高級管理人員不得買賣本公司股票”的規定。
上述事項發生後，壽鄒先生深刻認識到本次窗口期增持事項的違規性，向公司董事會進行了檢討。公司也就壽鄒先生窗口期增持公司股票行為，對其進行了批評教育，要求其嚴格保管證券賬户，認真學習《上市公司董事、監事和高級管理人員所持本公司股份及其變動管理規則》、《上海證券交易所股票上市規則》等相關法律法規和規範性文件，並要求其嚴格執行。
公司董事會要求公司全體董事、監事和高級管理人員等以此為戒，嚴格保管和操作證券賬户，加強對相關法律法規的學習，嚴格規範買賣公司股票的行為。
壽鄒對此次在窗口期誤增持公司股票給公司和市場帶來的不良影響，向廣大投資者致以誠摯的歉意。壽鄒承諾：
1、自公告披露日起18個月內不減持本次窗口期增持股份及其孳息股份；
2、本次窗口期增持股票及其孳息股份未來產生的收益全部上繳至公司。
今後嚴格規範買賣公司股票的行為，審慎操作，杜絕此類情況再次發生。
公司將進一步加強組織全體董事、監事、高級管理人員對《公司法》、《證券法》、《上市公司董事、監事和高級管理人員所持本公司股份及其變動管理規則》、《上海證券交易所股票上市規則》等相關法律法規和規範性文件的學習，避免此類情況的再次發生。
