三維絲(300056.SZ)大股東羅紅花將15.01%股份對應表決權、提案權委託給城投園林行使
格隆匯8月19日丨三維絲(300056.SZ)公佈，公司近日收到大股東羅紅花、周口市城投園林綠化工程有限公司[“城投園林”]的通知，羅紅花與城投園林簽署《表決權委託協議》[“協議”]，羅紅花將其所持有的三維絲約5785.43萬股股份[佔三維絲公司總股本的15.01%，“標的股份”]所對應的表決權、提案權全部委託給城投園林行使。
此次《表決權委託協議》簽署前，羅紅花持有上市公司約5785.43萬股股份，占上市公司總股本的15.01%，為上市公司持股比例最多的股東，但非擁有表決權份額最多的股東。
此次表決權委託完成後，城投園林成為擁有表決權份額最多的主體。
城投園林是周口市國資委下屬企業，看好公司整體發展，至目前已通過二級市場集中競價、大宗交易等方式持有三維絲約3787.61萬股，佔公司總股本的9.83%。城投園林擬通過表決權委託的方式增加其持有的上市公司權益數量，並將按照有利於上市公司可持續發展、有利於全體股東權益的原則，優化上市公司業務結構，改善上市公司資產質量，提升上市公司價值，爭取為廣大股東、特別是中小股東帶來更為豐厚的回報。
城投園林本系公司股東，此次權益變動系股東羅紅花將表決權委託給城投園林行使；如前所述，此次表決權委託後，公司持有5﹪以上表決權的股東分別是：城投園林持有表決權24.83﹪(與羅紅花系一致行動人)、上海中創凌興能源科技集團有限公司持有表決權19.34%(與丘國強系一致行動人)、廈門坤拿商貿有限公司持有表決權8.63﹪，除此外，無持有表決權5%以上的其他主體；前述股東均非持股50﹪以上的股東，可以實際支配上市公司的股份表決權也均未超過30%，且城投園林與上海中創凌興能源科技集團有限公司各自持有的表決權比例較為接近，任何一方可實際支配的上市公司股份表決權均不足以單方對公司股東大會的決議產生決定性影響或實際支配公司行為，因此，任何一方股東均無法單獨控制公司股東大會，進而控制公司。
此次權益變動不會導致公司控制權發生變化；公司目前仍無控股股東，無實際控制人。
