科華恆盛(002335.SZ)擬3000萬元收購廣州德昇15%股權
格隆匯8月16日丨科華恆盛(002335.SZ)公佈，公司(“甲方”)於2019年8月16日召開第七屆董事會第三十一次會議，審議通過了《收購公司控股子公司少數股東股權的議案》，基於公司總體戰略規劃，為了更好地支持廣州德昇雲計算科技有限公司(“廣州德昇”、“目標公司”或“丙方”)的發展，公司同意與廣州德昇少數股東廣州市德永科技投資有限公司及温洪標(“交易對方”或“乙方”)簽署股權轉讓協議，以人民幣3000萬元收購廣州德昇15%股權。此次股權轉讓完成後，公司直接及間接持有廣州德昇100%的股權(其中公司全資子公司北京天地祥雲科技有限公司持有廣州德昇30%的股權)。
廣州德昇雲計算科技有限公司經營範圍：網絡技術的研究、開發;計算機技術開發、技術服務;軟件開發;信息系統集成服務;計算機房維護服務;信息技術諮詢服務;數據處理和存儲服務;計算機批發;計算機零配件批發;軟件批發;辦公設備耗材批發;通訊設備及配套設備批發;通訊終端設備批發;辦公設備批發;電子產品批發;計算機整機制造。
截止2018年12月31日，廣州德昇資產總額約4.94億元，負債總額約3.94億元，淨資產約1.0億元，營業收入1090.50萬元，利潤總額206.90萬元，淨利潤157.07萬元。以上數據經致同會計師事務所(特殊普通合夥)審計。截止2019年03月31日，廣州德昇資產總額約5.19億元，負債總額約4.18億元，淨資產約1.01億元，營業收入415.28萬元，利潤總額61.91萬元，淨利潤49.10萬元。以上數據未經審計。
此次收購完成後，有利於公司更好地優化整體資源配置，符合公司進一步聚焦雲基業務的發展戰略。公司直接及間接持有廣州德昇100%股權，一方面將減少子公司少數股權對公司利潤的攤薄影響，進一步提升公司利潤水平；另一方面，將進一步加強公司對廣州德昇的控制和管理，推進公司發展戰略、提高決策效率，符合公司整體發展戰略規劃。廣州德昇由公司控股子公司變更為公司全資子公司，不會導致公司合併報表範圍發生變化。
