达力集团(00029.HK):规划管理局与圳华已同意安排土地置换
格隆汇9月11日丨达力集团(00029.HK)公布,有关对圳华拥有或占用位于中国深圳南山区东角头的土地("现有土地")进行重新分区及土地置换的提议。
现有土地由两幅土地组成。现有土地的第一幅土地("现有土地A")由圳华持有及拥有,并与政府签订了土地使用权出让合同书,占地面积约为17.2万平方米,土地用作客运码头、游艇会所、住宅及配套设施,可发展的总建筑面积约为31万平方米(包括约3.4万平方米用作客运码头及约6,000平方米用作游艇会所),作多用途发展。现有土地的第二幅土地("现有土地B")占地面积约为15.9万平方米,而圳华并未就其开发权与政府签订土地使用权出让合同书,仅向相关官方机构支付年费而获得占用及使用权。
如清算组近期所告知,对于该提议并根据对圳华适用之相关中国法律、法规及规则,圳华与深圳市规划和自然资源局南山管理局("规划管理局")订立收地补偿协议书。根据该协议书,规划管理局与圳华已同意安排土地置换,为此圳华将向规划管理局移交现有土地A,规划管理局将向圳华补偿位于后海大道以东、蛇口新街以南、中心路以西及望海路以北的一幅于深圳南山区东角头的土地("新土地"),并无需支付额外地价款;及圳华将向规划管理局移交现有土地B,两者均须遵守该协议书所载的条款及条件,并经磋商可获得补偿以清拆现有土地上的楼宇及建筑物。
根据该协议书,新土地之占地面积将约为11.1万平方米,土地用作住宅、商业用途(包括办公室)及配套设施,而可发展之总建筑面积约为39.5万平方米,作多用途发展。
根据该协议书,圳华须根据对其适用之中国相关法律、法规及规则作出土地置换所需之适当申请,包括但不限于调整法定图则、获批用地方案图及建设用地规划许可证以及签立土地使用权出让合同书,而有关申请将于圳华在其与规划管理局共同磋商及协定之期限内,清拆现有土地并将空置土地移交予规划管理局后进行。因此,概不保证土地置换、相关申请批准及土地合同签立不会再出现重大延误及阻碍。
根据深圳政府的相关规则、法律及法规,深圳政府要求进行的任何土地置换,均须建立在公平、公开及公正之基础上。董事(包括独立非执行董事)认为土地置换属公平,且该协议书之条款属合理及公正。由于集团根据权益法按其于圳华之49%权益将圳华作为合营企业综合入账,董事会认为该协议书及土地置换不会对集团之综合财务报表造成重大影响。
