长城汽车(02333.HK)澄清称对俄罗斯特别投资合同尚未签订及与宝马合资项目生变不实
格隆汇8月7日丨长城汽车(02333.HK)公布，近日，媒体刊登报道，提及公司与俄罗斯政府签署了针对本公司全资子公司俄罗斯哈弗汽车制造有限责任公司的特别投资合同，公司承担了多达420亿卢布（约合44.6亿人民币）的投资义务，用于建设包括发动机、变速器、电子控制模块和车辆控制系统等在内的高质量工厂。
公司针对上述报道内容进行了调查、核实。公司澄清声明该公司于2014年5月19日发布公告《长城汽车股份有限公司关于重要事项的提示性公告》提及该公司拟在俄罗斯图拉州乌兹洛瓦亚工业园区投资建设整车生产基地，产能规划为年产15万台，整体占地面积约为216万平方米。初步预计分两期进行建设，一期工程拟投资120亿卢布（折合人民币约为21亿元），二期工程建设根据一期运营效果及经济预期确定，生产基地全部（包含一期及二期工程）完成后，预计总投资约为180亿卢布（折合人民币约为32亿元）。
2019年6月，该生产基地一期工程已建成投产，预计年产能8万台，将主要生产H9与F7车型，截至2018年底，项目累计投资金额为人民币24.92亿元。目前，俄罗斯联邦政府已批准该公司全资子公司俄罗斯哈弗汽车与俄罗斯联邦工业和贸易部及图拉州政府签署特别投资合同，如签署特别投资合同，公司承诺将在俄罗斯生产基地整体投资424亿卢布（包括一期整车工厂部分投资、二期整车工厂投资、未来十年深度本地化投资）（按2019年8月7日中国国家外汇管理局公布的人民币对卢布汇率中间价1人民币兑换9.307卢布，折合人民币约45.56亿元）用于建设公司全资拥有的具备核心零部件深度本地化的SUV车型汽车制造厂，包括发动机、变速器等。
截至本公告日期，特别投资合同尚未签订。除上述投资安排外，公司预计无后续投资安排，提请广大投资者注意投资风险。
公告称，近日，媒体刊登报道，提及公司与宝马合资项目生变。公司针对上述报道内容进行了调查、核实。
公司澄清声明该公司于2018年7月10日发布公告《长城汽车股份有限公司与宝马（荷兰）控股公司签署合资经营合同的公告》提及该公司与宝马（荷兰）控股公司签订了《关于设立光束汽车有限公司的合资经营合同》，双方拟共同出资成立中外合资公司光束汽车有限公司。上述合资经营合同签订后，双方研发、管理人员保持频繁沟通、交流。目前，项目正按计划进行，双方正就合作细节进行沟通，并就项目向相关主管部门申报进行准备。媒体报道该公司与宝马合资项目生变的信息与事实不符。
此外，该公司与宝马（荷兰）控股公司投资设立中外合资公司需通过相关主管部门批准，并依适用法律办理工商注册登记手续，是否顺利完成尚存在不确定性。
