首鋼股份(000959.SZ)：擬收購鋼貿公司餘下49%的股權 9月13日起復牌
格隆匯9月12日丨首鋼股份(000959.SZ)公佈，此次交易前，首鋼集團持有標的公司北京首鋼鋼貿投資管理有限公司(“鋼貿公司”)49%股權。公司擬以向特定對象非公開發行股份的方式購買首鋼集團持有的鋼貿公司49%股權。
另外，公司擬向不超過35名符合條件的特定投資者，以詢價的方式非公開發行股份募集配套資金，非公開發行股票募集配套資金的發行股份數量不超過發行前公司總股本的30%，募集配套資金總額不超過此次交易中以發行股份方式購買資產的交易價格的100%。
募集配套資金扣除發行費用後的淨額擬用於標的公司項目建設、上市公司或標的公司補充流動資金和償還債務等，募集資金具體用途及金額將在《重組報吿書(草案)》中予以披露。若最終募集配套資金總額不足，則不足部分將由上市公司以自有資金或者其他融資方式解決；若上市公司以自有資金先行投入，則待募集資金到位後再進行置換。
此公司以發行股份的方式向交易對方支付標的資產的交易對價。截至預案簽署之日，此次交易涉及的審計、評估工作尚未完成。此次交易標的資產的具體交易對價將以具有相關業務資格的評估機構出具並經首鋼集團備案的評估結果為依據確定。
此次交易前，公司直接持有標的公司51%的股權，公司直接持有京唐公司70.1823%的股權，標的公司持有京唐公司29.8177%股權，標的公司為公司合併報表範圍內的控股子公司。此次交易系公司收購控股子公司鋼貿公司的少數股權，此次交易完成後，公司直接持有鋼貿公司100%的股權，並直接以及通過鋼貿公司合計持有京唐公司100%的股權。
此公司所處行業為鋼鐵行業，主要業務為鋼鐵冶煉、鋼壓延加工等，擁有京唐基地和遷順基地兩大鋼鐵生產基地。鋼貿公司承擔首鋼股份區域銷售公司、鋼材加工配送體系的建設、運作和管理的職能，形成了覆蓋全國的首鋼營銷服務體系，在上海、廣州、山東、天津、武漢等設立5個區域子公司，並在全國各地建成12家鋼材加工配送中心、2家貿易公司及1家航運公司。鋼貿公司參股的京唐公司鋼鐵產品主要包括熱系和冷系兩大系列板材產品，目前已形成以汽車板、鍍錫板、家電板、彩塗板、冷軋專用鋼為代表的冷系產品和以集裝箱板、管線鋼、車輪鋼、耐候鋼、橋樑鋼為代表的熱系產品的高端產品集羣。此次交易完成後，公司主營業務範圍不會發生變化，主營業務得到進一步鞏固和加強。
經向深圳證券交易所申請，公司股票將於2021年9月13日開市起復牌。公司將於股票復牌後繼續推進此次交易相關工作，嚴格按照相關法律法規的規定和要求履行信息披露義務。
