東傑智能(300486.SZ)：擬4950萬元收購中集智能55%股權
格隆匯 8 月 12日丨東傑智能(300486.SZ)公佈，公司全資子公司東傑智能(深圳)有限公司(“深圳東傑”)與深圳中集智能科技有限公司(“中集智能”或“標的公司”)的股東中集集團、深圳南方中集集裝箱製造有限公司(“南方中集”)於2020年8月12日簽署了《股權轉讓協議》，深圳東傑擬以自有資金人民幣4181.796萬元收購中集集團所持有的中集智能46.4644%股權、擬以自有資金人民幣768.204萬元收購南方中集所持有的中集智能8.5356%股權。合計擬以自有資金人民幣4950萬元收購中集智能55%股權。
深圳中集智能科技有限公司隸屬於中集集團，是國家高新技術企業、國家雙軟認證企業。中集集團於2002年成立智能集裝箱研究項目小組，於2006年發展成立智能安全研究中心，於2008年正式組建成立深圳中集智能科技有限公司。中集智能自成立以來致力於打造圍繞“智能集裝箱”領域的工業互聯網平台型企業。在智慧工廠領域，打造“大合雲”工業互聯網平台(入選廣東省上雲上平台供應商資源池)，累計服務客户超100家，終端接入量超10萬，為超過10個工業細分領域賦能，尤其在集裝箱行業、道路運輸車輛行業、能源化工裝備與食品裝備行業、登機橋行業、高端海工裝備行業等有豐富案例；在智慧物流領域，打造工業互聯網平台“箱知雲”，中集智能為國家工信部物聯網智能集裝箱領域唯一標識節點所在地，實現集裝箱作為全球物流裝備的全鏈條設備與作業可視化。並形成了圍繞集裝箱進出境、跨關、轉關、通關的智能化和便利化的一整套解決方案，目前已完成港珠澳大橋信息化等標杆性項目。同時打造與行業深度融合的物聯網終端產品與系統，在工業氣體、危化品和冷鏈運輸等行業，通過物聯網終端(儲運衞士、冷箱衞士)和系統(罐通天下、安行天下)，通過2G/3G/4G/5G、Lora、NB-IoT、WLAN、無線傳感網、低軌衞星通信、Internet等網絡和通信技術實現數據通道和傳輸，實現產、供、銷、運、用的全鏈條設備、作業與交易可視化。
此次交易旨在完善公司在工業互聯網領域的佈局，有利於雙方優勢資源共享，增強公司的軟件實力，助力公司業務在智慧工廠和智慧物流等領域進一步延伸，同時公司將為標的公司的經營管理注入新的資源和動力，實現互利共贏，符合公司和全體股東的利益。
