ST昌九(600228.SH)擬置入上海中彥100%股份 控股股東變更為上海享鋭 明日復牌
格隆匯3月18日丨ST昌九(600228.SH)公佈，公司擬通過重大資產置換、發行股份及支付現金方式購買上海中彥信息科技股份有限公司100%股份。同時擬向杭州昌信信息科技合夥企業(有限合夥)、上海享鋭企業管理諮詢事務所(有限合夥)以非公開發行股份方式募集配套資金。
上市公司擬將截至評估基準日的全部資產及負債作為擬置出資產置換給上海享鋭等14名交易對方。各交易對方按照其在中彥科技的持股比例以中彥科技全部股份中等值部分作為對價進行承接。上海享鋭等14名交易對方同意將承接的上市公司截至評估基準日的全部資產及負債以各方協商確定的價格轉讓給擬置出資產繼受方。為簡化交易手續，上市公司直接將截至評估基準日的全部資產及負債交割予擬置出資產繼受方。
本次交易的擬置入資產為中彥科技100%股份。擬置入資產和擬置出資產之間的差額部分，由上市公司及其指定控股子公司向上海享鋭等14名交易對方發行股份及支付現金購買，其中向部分交易對方以支付現金方式購買其持有的中彥科技13.635%的股份；向上海享鋭等14名交易對方以發行股份方式購買中彥科技剩餘全部差額部分股份。本次交易完成以後，中彥科技將成為上市公司的子公司。本次發行股份購買資產的股份發行價格為5.19元/股。
本次交易中，上市公司擬向杭州昌信、上海享鋭以非公開發行股份方式募集配套資金，募集配套資金總額預計不超過3.3億元，不超過本次發行股份購買資產交易價格的100%。本次交易中，杭州昌信擬認購配套融資金額預計不超過2億元，上海享鋭擬認購配套融資金額預計不超過1.3億元。本次募集配套資金的股份發行價格為4.62元/股，預計發行股數不超過7142.86萬股。本次交易中，杭州昌信擬認購配套融資股份數不超過4329.00萬股，上海享鋭擬認購配套融資股份數不超過2813.85萬股。
本次交易完成後，上市公司的控股股東變更為上海享鋭，實際控制人變更為葛永昌。公司股票將於2020年3月19日起復牌。
